Specified Collateral definition

Specified Collateral has the meaning specified in the Security Agreement.

Specified Collateral shall have the meaning provided in Section 6.2(a).

Specified Collateral means Collateral (including, without limitation, Subject Note) other than ABL Assets; provided, that, “Property” as defined in the Senior Notes Indenture (as in effect on the First Amendment Effective Date) shall not be included in Specified Collateral unless a Lien is granted thereon by any Loan Party in favor of any Person to secure Indebtedness for borrowed money.

Examples of Specified Collateral in a sentence

• The Specified Collateral is subject to the provisions of the UCC and no Debtor is aware of any facts or circumstances that have resulted or may result (as of the moment in time immediately prior to the Effective Time) in the Collateral Agent failing to hold, on behalf of itself and the Lenders, a valid and perfected first priority Lien and security interest on the Specified Collateral.

• The requirements of this Section 8.10(d)(ii) with respect to the Other Specified Property shall be referred to as the “Other Specified Collateral Requirements”, and the items described in items (A) through (F) of the foregoing Section 8.10(d)(ii) shall be referred to as the “Other Specified Collateral Deliverables”.

• Purchaser hereby authorizes JPM CCC to file a Uniform Commercial Code financing statement with respect to all Supplier Oil and Specified Collateral, whether now owned or hereafter acquired.

• The requirements of the foregoing paragraph with respect to the Other Specified Property shall be referred to as the “Other Specified Collateral Requirements”, and the items described in items (1) through (6) of the foregoing paragraph shall be referred to as the “Other Specified Collateral Deliverables”.

More Definitions of Specified Collateral

Specified Collateral has the meaning set forth in Section 12 of this Agreement.

Specified Collateral means the assets of the Company and its subsidiaries securing the Indenture Obligations in which the Company has granted or purported to grant to the Trustee, on behalf of the Holders, a first priority security interest in accordance with the terms of the Security Documents.

Specified Collateral has the meaning specified in the US Security Agreement and in the Canadian Security Agreement.

Specified Collateral all Collateral other than Collateral referred to in Section 3(l) and the Proceeds and products thereof.

Specified Collateral means all the “Specified Collateral” as defined in the Guarantee and Collateral Agreement.
