Specified Employees definition

Specified Employees has the meaning set forth in Section 8.6.

Specified Employees means Xxxxxx X. Xxxxx, Xxxxxxxxx X. Xxxxx, Xx., Xxxx X. Xxxxxxx, Xxxx X. XxXxxxx, Xxxxxx X. Nagawswami, Xxxxxx X. Xxxxxx, Xxxxxxx X. Xxxxxxxxxx, R. Xxxxx Xxxxxx-Xxxx and Xxxxxx X. Xxxxxx.

Specified Employees means the employees identified on Schedule 6.

Examples of Specified Employees in a sentence

• Section 1.409A-1(i)6), the identification of Specified Employees shall be determined in accordance with the default rules described therein, unless the Employer elects to utilize the available alternative methodology through designations made within the timeframes specified therein.

• All Participants who are determined to be key employees under Section 416(i) of the Code (without regard to paragraph (5) thereof) during the identification period shall be treated as Specified Employees for purposes of the Plan during the twelve (12) month period that begins on the first day of the 4th month following the close of such identification period.

• Section 1.409A-1(i)(6), the identification of Specified Employees shall be determined in accordance with the default rules described therein, unless the Employer elects to utilize the available alternative methodology through designations made within the timeframes specified therein.

• All Participants who are determined to be key employees under Code Section 416(i) (without regard to paragraph (5) thereof) during the identification period shall be treated as Specified Employees for purposes of the Plan during the twelve (12) month period that begins on the first day of the 4th month following the close of such identification period.

• Where the payment is delayed to a date on or after the Participant’s Separation from Service, the payment will be considered a payment upon a Separation from Service for purposes of the rules under Treasury Regulations §1.409A-3(i)(2) (payments to specified employees upon a separation from service) and, the 6 month delay rule will apply for Specified Employees.

More Definitions of Specified Employees

Specified Employees means key employees, as defined in Section 416(i) of the Code without regard to paragraph (5) thereof, of the Company.

Specified Employees has the meaning assigned to it in the Recitals.

Specified Employees means those individuals whose names are set forth on, or are otherwise described on, Schedule 1.1(c).

Specified Employees means any individual who is a “key employee” (as defined in Section 416(i) of the Code without regard to paragraph (5) thereof) with respect to the Company or its Affiliates, as determined by the Company (or the Affiliate, in the event that the Affiliate and the Company are not considered a single employer under Sections 414(b) or 414(c) of the Code) in accordance with its uniform policy with respect to all arrangements subject to Section 409A of the Code[, based upon the twelve (12) month period ending on each December 31st. All individuals who are determined to be key employees under Section 416(i)(1)(A)(i), (ii) or (iii) of the Code (without regard to paragraph (5) thereof) on December 31st shall be treated as Specified Employees for purposes of the Plan during the twelve (12) month period that begins on the following January 15.

Specified Employees shall be determined in accordance with Section 409A(a)(2)(B)(i) of the Code and Treasury Regulation Section 1.409A-1(i).
