Specified Individuals definition

Specified Individuals means Xxxx Xxxxxxxxx, Xxxxxx Xxxxx, Xxxxx Xxxxxxx, Xxxx Xxxxxxx, Xxxxxxx Maine, Xxxxx Xxxxxxxx and Xxxxxxx Xxx Xxxxxx.

Specified Individuals means each of the directors and officers of the Debtors as of the Confirmation Date.

Specified Individuals means the individuals named on Schedule A.

• The Specified Individuals of Buyer are listed in Schedule 11 - Specified Individuals.

• The employment agreements and release letters with the Specified Individuals, each signed by the applicable Specified Individual, attached to this Agreement as Exhibit M, or otherwise delivered as such (with proper designation) to Buyer by the Company prior to the Closing.

• Each of the Specified Individuals and each of the Specified Associates owns his, her or its shares of Company Common Stock free and clear of any Encumbrances.

Xxxx, Chief Technology Officer and Xxxx X. XxXxx, Senior Vice President of Organizational Development.

Specified Individuals means any individual who is or was an employee, contractor or consultant of any Restricted Entity as of the Closing Date or at any time during the Non-Competition Period and “indirectly” shall include without limitation the authorized use of the Covenantor’s name by a third party to do an action that would be prohibited hereunder if taken by the Covenantor. Notwithstanding the forgoing, for purposes of this Agreement, the placement of general advertisements, which may be targeted to a particular geographic or technical area but which are not targeted directly or indirectly towards any Specified Individual, shall not be deemed to be a solicitation under this Agreement or a violation of this Section 2.

Specified Individuals means the persons set forth on Exhibit B.

Specified Individuals means each of the individuals listed on Schedule 2.1(c) of the Disclosure Letter.
