Specified Intellectual Property definition

Specified Intellectual Property means any Intellectual Property of one or more Grantors (a) the book value of which exceeds $5,000,000 individually or in the aggregate, (b) which generates annual revenue, royalties or license fees of greater than $5,000,000 or (c) which, in the commercially reasonable judgment of the Grantors, is material to the conduct of all or a material portion of the business of WIL-Ireland and its Restricted Subsidiaries.
Specified Intellectual Property means the intellectual property existing in the Miramar software platform (or any trademarked successor thereto) and related modules.
Specified Intellectual Property means any Intellectual Property to be licensed through an Exclusive License or sold by Holdings, the Borrower or its Subsidiaries on arm’s length terms to a non-affiliated pharmaceutical or life science company, or a joint venture or similar arrangement with such a company.
