Spectrum Lease means any lease, license, agreement or other arrangement to which any Note Party is now or may hereafter become a party pursuant to which any Note Party leases, licenses or otherwise acquires or obtains any rights, whether exclusive or non-exclusive, with respect to radiofrequency specified in an Underlying License, in each case, as amended, restated, supplemented or otherwise modified from time to time.

• Except as disclosed on Schedule 4.15, as of the date hereof, neither the Company nor any Subsidiary of the Company has received any notice that any party to any of the Material Contracts or Spectrum Leases intends to cancel or terminate any such Material Contract or Spectrum Lease.

Spectrum Lease means a Long-Term De Facto Transfer Lease Agreement in substantially the form attached hereto as Exhibit C.

Spectrum Lease means any written agreement, together with all amendments, waivers, notices to these written agreements, under which any of the Company or its Subsidiaries (i) leases the right to use the transmission capacity associated with an FCC License that confers an exclusive right to use spectrum.

Spectrum Lease has the meaning set forth in the License Purchase Agreement. “Taxes” means any and all property (real, personal or intangible), sales, use, or license taxes (including any fee, assessment or other charge in the nature of or in lieu of any tax), imposed by the United States or any state, local or foreign government or subdivision or agency thereof on the Assets, and any interest, penalties, additions to tax or additional amounts in respect of the foregoing (whether disputed or not). “Tower Structures” means the communications tower structures at the Co-location Sites. “Transaction Documents” means this Agreement and all other agreements, documents and instruments required to be executed and/or delivered by the parties or any one or more of them in accordance with the provisions of this Agreement.
