Sponsor Equity definition

Sponsor Equity means the equity required to be contributed by Sponsor in respect of the Projects in an amount equal to $95,962,382.

Sponsor Equity means the aggregate of any Balancing Equity Contribution, the Initial Equity Contribution, the Equity Collateral and the Equity Contributions.

Sponsor Equity means the aggregate amount of funding contributed by the Sponsor, directly or indirectly, to KED or Kosmos as confirmed by the Technical and Modelling Bank and included in the Forecast and Project Model prepared as at the Satisfaction Date.

• In no event shall this letter agreement or the Equity Commitment to be funded hereunder be enforced by any person unless (i) such person is also seeking enforcement of each Other Sponsor’s obligations under its Other Sponsor Equity Commitment Letter and/or (ii) each Other Sponsor has satisfied or is prepared to (or will) satisfy its obligations under its Other Sponsor Equity Commitment Letter.

• In no event shall this letter agreement or the Equity Commitment to be funded hereunder be enforced by any person unless such person is also seeking enforcement of the Other Sponsor Equity Commitment Letters to the extent that any Other Sponsor has not performed in full its obligations under its Other Sponsor Equity Commitment Letter.

• In no event shall this letter agreement or the Equity Commitment to be funded hereunder be enforced by any person unless (xx) such person is also seeking enforcement of the Other Sponsor Equity Commitment Letters and/or (yy) each Other Sponsor has satisfied or is prepared to satisfy its obligations under its Other Sponsor Equity Commitment Letter.

• In no event shall this letter agreement be enforced by Parent unless (a) the enforcement of each Other Sponsor Equity Commitment Letter dated as of the date hereof is being substantially concurrently pursued by Parent (if such enforcement is necessary and permitted by applicable Laws) or (b) each Other Sponsor has satisfied or is prepared to satisfy its obligations under its Other Sponsor Equity Commitment Letter.

• In no event shall this letter agreement or the Equity Commitment to be funded hereunder be enforced by any person unless (i) such person is also seeking enforcement of the Other Sponsor Equity Commitment Letters and/or (ii) the Other Sponsors have satisfied or are prepared to satisfy their respective obligations under the Other Sponsor Equity Commitment Letters.

More Definitions of Sponsor Equity

Sponsor Equity means, collectively, the Founder Shares and the Private Placement Warrants.
