Sponsor Group means Kohlberg Kravis ▇▇▇▇▇▇▇ & Co. L.P., TPG Capital L.P., and ▇▇▇▇▇▇▇, Sachs & Co.

Sponsor Group means the collective reference to (i) the Sponsors and (ii) any other Person that directly or indirectly, is in control of, is controlled by, or is under common control with, the Sponsor (other than portfolio companies). For purposes of this definition, “control” of a Person means the power, directly or indirectly, to direct or cause the direction of the management and policies of such Person whether by contract or otherwise.

• For purposes of the immediately above provision, NPIC Limited and The K2 Principal Fund L.P. shall contribute back Insider Shares on a pro rata basis with the Sponsor Group.

• The Company, Holdings, Sponsor Group and Executive shall each use reasonable best efforts to minimize all taxes that may be due in connection with any award or payment made pursuant to this Agreement, including in connection with the Restricted Stock Award; provided, that Executive shall only be required to use such reasonable best efforts to the extent that Executive will not be economically disadvantaged as a result of such efforts.

• Sponsor makes no representations or warranties, express or implied, in respect of the activities provided by any member of the Sponsor Group.

• The Company, Parent and their subsidiaries shall defend at their own cost and expense any and all suits or actions (just or unjust) which may be brought against the Company, Parent, their subsidiaries or any of their affiliates, or any member of the Sponsor Group or in which any member of the Sponsor Group may be impleaded with others upon any Claims, or upon any matter, directly or indirectly related to or arising out of this Agreement or the performance hereof by any member of the Sponsor Group.

More Definitions of Sponsor Group

Sponsor Group means the Sponsor and any of its Subsidiaries or Affiliates other than Affiliates that are operating companies or Controlled by operating companies.
