Sponsor Group definition

Sponsor Group means the Sponsors and the Sponsor Related Parties.

Sponsor Group means Kohlberg Kravis Xxxxxxx & Co. L.P., TPG Capital L.P., and Xxxxxxx, Sachs & Co.

Sponsor Group shall have the meaning set forth in the second recital.

• For purposes of the immediately above provision, NPIC Limited and The K2 Principal Fund L.P. shall contribute back Insider Shares on a pro rata basis with the Sponsor Group.

• Upon termination of Executive’s employment for any reason, Executive agrees to resign, as of the date of such termination and to the extent applicable, from the Board (and any committees thereof) and the Board of Directors (and any committees thereof) of any of the Company’s affiliates to which the Executive was appointed as a result of Executive’s employment with the Company or was appointed at the direction of the Sponsor Group.

• Under no circumstances shall the Company be obligated to effect more than (i) one Shelf Underwritten Offering pursuant to this subsection 2.1.3 at the request of one or more Sponsor Group Holders or (ii) an aggregate of three (3) Shelf Underwritten Offerings pursuant to this subsection 2.1.3 with respect to any or all Registrable Securities.

• Specifically, CSIF intends to increase assets by utilizing the preferential trading negotiation right granted by the Sponsor Group and acquiring photovoltaic power generation facilities, etc.

More Definitions of Sponsor Group

Sponsor Group means the collective reference to (i) the Sponsors and (ii) any other Person that directly or indirectly, is in control of, is controlled by, or is under common control with, the Sponsor (other than portfolio companies). For purposes of this definition, “control” of a Person means the power, directly or indirectly, to direct or cause the direction of the management and policies of such Person whether by contract or otherwise.

Sponsor Group means the IIAC Sponsor together with its Affiliates.

Sponsor Group means the Sponsor and its respective affiliates, successors and assigns;

Sponsor Group means Bxxx Capital Partners LLC, Kohlberg Kravis Rxxxxxx & Co. L.P., and Mxxxxxx Lxxxx Global Private Equity.

Sponsor Group means (a) M&F Worldwide Corp., (b) MacAndrews & Forbes Holdings Inc., (c) each of M&F Worldwide Corp.’s and MacAndrews & Forbes Holdings Inc.’s Affiliates, excluding vTv and its direct and indirect subsidiaries, (d) Xxxxxx X. Xxxxxxxx and (e) any of the directors or executive officers of MacAndrews & Forbes Holdings Inc.

Sponsor Group has the meaning set forth in Section 11.16(b)(i).

Sponsor Group means (i) Banc of America Capital Investors V, L.P., Bear Growth Capital Partners, LP, WCP Fund II, L.P. and their respective Affiliates and Persons, funds or partnerships managed by any of them or any of their respective Affiliates, but not including, however, any of their respective portfolio companies and (ii) the Sponsors.
