• The Servicer will provide access to the Receivable Files, and the related accounts records, and computer systems and information regarding the Receivables maintained by the Servicer at such times as the Issuer, the Grantor Trust, the Standby Servicer or the Indenture Trustee direct, but only upon reasonable notice and during the normal business hours at the respective offices of the Servicer.

• The Standby Servicer may merge with any Person in its sole discretion.

Standby Servicer means a Person satisfying the eligibility criteria applicable to a Successor Servicer under Section 8.6(2) of the Pooling and Servicing Agreement who has agreed in writing to act, upon the written request of the Custodian, as the Successor Servicer in circumstances where the Co-Owners determine to replace the Servicer as a result of the occurrence of a servicer termination event described in (e) of Section 9.1;
