Standby Servicer definition

Standby Servicer means Computershare Trust Company, National Association, and its permitted successors and assigns.

Standby Servicer means Norwest Bank Minnesota, National Association, in its capacity as Standby Servicer pursuant to the terms of the Servicing Assumption Agreement or such Person as shall have been appointed Standby Servicer pursuant to Section 9.2(c).

Standby Servicer means a Person satisfying the eligibility criteria applicable to a Successor Servicer under Section 8.6(2) of the Pooling and Servicing Agreement who has agreed in writing to act, upon the written request of the Custodian, as the Successor Servicer in circumstances where the Co-Owners determine to replace the Servicer as a result of the occurrence of a servicer termination event described in (e) of Section 9.1;

Standby Servicer means Bankers Trust Company or such other party as may be appointed by the Trustee to stand ready to act as a Successor Servicer in the event that Gottschalks is removed as Servicer.
