If a Change of Control (as defined in Section 3.4.1 hereof) occurs, and the Executive continues employment for six (6) months after the date of the Change of Control (as defined in Section 3.4.1 hereof) (the “Stay Period”), the Executive may terminate the Employment Term (the “Resignation”) during the ninety (90) days following the Stay Period (the “Window Period”).
After the expiration of a Stay Period, the Liquidating Member may, at its option, provide a new Appraisal Election Notice as provided in Section 12.5.1 at any time or reinstate the Sale Notice given pursuant to Section 12.5.4 by written notice to the Company given within 10 business days following the expiration of such Stay Period, in which case the last permitted Pay Date shall be extended by the number of days of the Stay Period.
If the Company does enter into such a definitive agreement then the Buyers' Option shall immediately terminate; however, if the Stay Period expires less than thirty (30) days before the date that is one hundred and eighty (180) days after the Issue Date, the Buyers shall be entitled to exercise the Buyers' Option during the period beginning on the expiration of the Stay Period and ending on the date that is thirty (30) days following the expiration of the Stay Period.
During any Stay Period, any unconverted portion of this Note shall cease to be outstanding and shall cease to accrue interest and the Company’s sole obligation with respect to such portion of this Note shall be the delivery of any undelivered Conversion Securities by 12:00 p.m. New York Time on the second (2nd) Trading Day following the Stay Period Termination.
Upon the date of the expiration of the Forbearance Period, or upon the date of expiration of any Stay Period (defined below), for each M&M ▇▇▇▇ and each Claim Against Landlord that remains unreleased, Tenant will, at ▇▇▇▇▇▇’s expense, cause each such M&M ▇▇▇▇ and Claim Against Landlord to be promptly released (each a “Required Release”) by the filing of a bond or by other means as allowed by law.
