Stipulation and Order definition

Stipulation and Order means that certain Stipulation and Order [Docket No. 553] between the Debtors, the Creditors’ Committee, the Equity Committee and CRG resolving the objections to the Debtors’ Motion for Entry of Order Approving Appointment and Compensation of Independent Director Nunc Pro Tunc to February 13, 2019 [Docket No. 394] and Debtors’ Application for Entry of an Order Authorizing the Retention and Employment of Kirkland & Ellis LLP and Kirkland & Ellis International LLP as Attorneys for Synergy Pharmaceuticals Inc. Effective Nunc Pro Tunc to February 13, 2019 [Docket No. 433].
Stipulation and Order means the document attached to the Settlement Agreement as Exhibit A.

  • Stipulation means this Stipulation and Agreement of Settlement.

  • Settlement Agreement means this agreement.

  • Confidentiality Agreements shall have the meaning set forth in Section 6.7 hereof.

  • Consent Decree means this Consent Decree and all appendices attached hereto. In the event of conflict between this Consent Decree and any appendix, this Consent Decree shall control.

  • Quality Agreement has the meaning set forth in Section 9.6.

  • Confirmation Order means the order of the Bankruptcy Court confirming the Plan pursuant to section 1129 of the Bankruptcy Code.

  • Competent and reliable scientific evidence means tests, analyses, research, studies, or other evidence based on the expertise of professionals in the relevant area, that has been conducted and evaluated in an objective manner by persons qualified to do so, using procedures generally accepted in the profession to yield accurate and reliable results.

  • Settlement Agreements means any settlement reached in the U.S. Litigation with any of the Settling Defendants.

  • Court Order means any judgment, decision, consent decree, injunction, ruling or order of any federal, state or local court or governmental agency, department or authority that is binding on any person or its property under applicable law.

  • Indemnification Agreements shall have the meaning set forth in Section 6.01(a).

  • Interim Order means the interim order of the Court, as the same may be amended, in respect of the Arrangement;
