Stock Exchange Ratio definition

Stock Exchange Ratio has the meaning set forth in Section 3.01(a).
Stock Exchange Ratio means the quotient of the Base Consideration Value divided by the Stock Value.
Stock Exchange Ratio has the meaning provided in Section 1.4.

  • Each Reference Basket Stock shall be assigned a Basket Stock Exchange Ratio equal to the number of shares of such Reference Basket Stock with a Closing Price on the effective date of such Reorganization Event equal to the product of (a) the Non-Stock Exchange Property Value, (b) the Exchange Ratio in effect for the Underlying Stock on the Trading Day immediately prior to the effective date of such Reorganization Event and (c) 0.3333333.

The “Warrant Exercise Price” shall be equal to $6.79. Unless the context otherwise requires, all references in this Agreement to “Parent Common Stock” shall be deemed to also refer to the associated Rights.
