In order to exercise the Stock Payment Option, the Purchaser must deliver a written notice to the Company (a "Stock Payment Notice") stating its intention to do so.
The Company agrees that, in addition to its obligations under the Registration Rights Agreement, it will, within fifteen (15) Business Days following the Effective Date, file an amendment to the Registration Statement that will permit the resale thereunder of all Stock Option Shares issued pursuant to the Stock Payment Option.

The shares of GGD Stock to be issued and delivered by the Company pursuant to the Stock Payment Option shall be fully paid and non-assessable, free and clear of any liens, claims, preemptive rights or encumbrances imposed by or through the Company, in an amount calculated in accordance with paragraph 3(c) below (the "INTEREST PAYMENT SHARES").
