Stock Payment Option definition

Stock Payment Option shall have the meaning provided in Section 1.1(a).
Stock Payment Option means Ford’s option to satisfy all or a portion of its payment obligation under New Note B by delivering shares of Ford common stock as set forth in Section 2(c) of New Note B, subject to the terms and conditions specified in New Note B.
Stock Payment Option has the meaning given to it in Section 2.2(e)(i).

  • In order to exercise the Stock Payment Option, the Purchaser must deliver a written notice to the Company (a "Stock Payment Notice") stating its intention to do so.

  • The Company agrees that, in addition to its obligations under the Registration Rights Agreement, it will, within fifteen (15) Business Days following the Effective Date, file an amendment to the Registration Statement that will permit the resale thereunder of all Stock Option Shares issued pursuant to the Stock Payment Option.

  • The shares of GGD Stock to be issued and delivered by the Company pursuant to the Stock Payment Option shall be fully paid and non-assessable, free and clear of any liens, claims, preemptive rights or encumbrances imposed by or through the Company, in an amount calculated in accordance with paragraph 3(c) below (the "INTEREST PAYMENT SHARES").

  • On or before the third (3rd) Business Day following a Maturity Date with respect to which the Company has validly exercised the Common Stock Payment Option (each a “Common Stock Option Delivery Date”), the Company must deliver to each Holder a number of shares of Common Stock equal to (A) the Liquidation Preference of such Holder’s Preferred Shares then maturing divided by (B) the Market Price in effect on such date.

  • If the Company wishes to exercise the Common Stock Payment Option with respect to any Preferred Shares then maturing, it must do so with respect to all (but not less than all) of the Preferred Shares then maturing.

  • The term “Payment Shares” shall mean the shares of Ford common stock issued to the LLC pursuant to the Stock Payment Option.

Stock Payment Option means the option of the Company to make a payment of interest on the Notes wholly or partly in shares of Common Stock as provided in 3.02.

Related to Stock Payment Option

  • Stock Payment means (a) a payment in the form of shares of Stock, or (b) an option or other right to purchase shares of Stock, as part of any bonus, deferred compensation or other arrangement, made in lieu of all or any portion of the compensation, granted pursuant to Article 8.

  • Deferred Share means a Share which by its terms of issue is a deferred share as defined in the Statutes and includes a permanent interest bearing share and a Core Capital Deferred Share;

  • Dividend Equivalent Right means an Award entitling the grantee to receive credits based on cash dividends that would have been paid on the shares of Stock specified in the Dividend Equivalent Right (or other award to which it relates) if such shares had been issued to and held by the grantee.

  • Deferred Share Unit or “DSU” means a unit equivalent in value to a Share, credited by means of a bookkeeping entry in the books of the Corporation in accordance with Article 7;

  • Deferred Stock means a right to receive a specified number of shares of Stock during specified time periods pursuant to Article 8.

  • Deferred Stock Unit means a right granted to a Participant under Article 9 to receive Shares (or the equivalent value in cash or other property if the Committee so provides) at a future time as determined by the Committee, or as determined by the Participant within guidelines established by the Committee in the case of voluntary deferral elections.

  • Dividend Equivalent Rights means certain rights to receive cash payments as described in Section 3.5.

  • Distribution Equivalent Right means an Award granted under Article XIII of the Plan which entitles the Holder to receive bookkeeping credits, cash payments and/or Share distributions equal in amount to the distributions that would have been made to the Holder had the Holder held a specified number of Shares during the period the Holder held the Distribution Equivalent Right.

  • Share Unit means either an RSU or a PSU, as the context requires.

  • Deferred Shares means an award made pursuant to Section 7 of this Plan of the right to receive Common Shares at the end of a specified Deferral Period.

  • Deferred Stock Units means the number of hypothetical Shares subject to an Election.

  • Deferred Stock Account means a bookkeeping account maintained by the Company for a Participant representing the Participant's interest in the shares credited to such Deferred Stock Account pursuant to Paragraph 7 hereof.

  • Deferred Stock Award means Awards granted pursuant to Section 8.

  • Dividend Equivalent Unit means the right to receive a payment, in cash or Shares, equal to the cash dividends or other cash distributions paid with respect to a Share.

  • Phantom Stock means a right granted to an Eligible Individual under Section 12 representing a number of hypothetical Shares.

  • Phantom Stock Unit means the right to receive the value of one (1) share of the Company’s Common Stock, subject to the provisions of Section 8.4 of the Plan.

  • Stock Unit means a bookkeeping entry representing the equivalent of one Share, as awarded under the Plan.

  • Dividend Equivalent means a right to receive the equivalent value (in cash or Shares) of dividends paid on Shares, awarded under Section 9.2.

  • Performance Stock Unit means a right granted to a Participant pursuant to Section 8.2, to receive Stock, the payment of which is contingent upon achieving certain Performance Goals or other performance-based targets established by the Committee.

  • Dividend Equivalents means a right granted to a Participant under the Plan to receive the equivalent value (in cash or Shares) of dividends paid on Shares.

  • Phantom Share means a right, pursuant to the Plan, of the Grantee to payment of the Phantom Share Value.

  • DSU means the Understanding on Rules and Procedures Governing the Settlement of Disputes contained in Annex 2 of the WTO Agreement;

  • Restricted Share Unit Award means a right to receive Ordinary Shares which is granted pursuant to the terms and conditions of Section 6(b).

  • Performance Share Unit or “PSU” means a unit equivalent in value to a Share, credited by means of a bookkeeping entry in the books of the Corporation in accordance with Article 6;

  • Phantom Stock Award means an Award granted under Paragraph X of the Plan.

  • Restricted Share Unit means the right granted to a Participant pursuant to Article 7 to receive a Share at a future date.
