Stock Sale definition

Stock Sale means a transaction or series of related transactions in which a Person, or a group of related Persons, acquires from stockholders of the Company shares representing more than fifty percent (50%) of the outstanding voting power of the Company.
Stock Sale means a sale of Common Stock to an Eligible Person under Section 6.8.
Stock Sale means a sale of Common Stock to an Eligible Person under Section 6.8 of this Plan.

Examples of Stock Sale in a sentence

  • If the Executive terminates his employment under this provision, it shall be deemed a termination without cause by Good Times and the Executive shall be entitled to the Severance Compensation and Stock Sale Option in the amount and at such time as set forth under Section 7(g).

  • Nothing in this Agreement shall amend, modify or supersede any contractual terms, obligations or covenants among or between any of the Company, the Distributor, or the Fund previously or currently in effect, including those contractual terms, obligations or covenants contained in the Stock Sale Agreement.

  • If this Agreement terminates under this provision the Executive (or his estate) shall be entitled to the Severance Compensation and Stock Sale Option in the amount and at such time as set forth under Section 7(g).


More Definitions of Stock Sale

Stock Sale has the meaning set forth in Section 2.1.
Stock Sale means a sale by the Company’s stockholders, in one transaction or series of related transactions, of equity securities that represent, immediately prior to such transaction or transactions, a majority by voting power of the equity securities of the Company pursuant to an agreement approved by the Board and entered into by the Company.
Stock Sale means a sale of Common Stock to an Eligible Person underSection 6.8 of this Plan.
Stock Sale means sale of Common Stock by the Company, KKR or an affiliate of KKR to a third party.
Stock Sale means a change in ownership of the Company, other than a Change in Control, that occurs when one Person, or more than one Person acting as a group, acquires ownership of stock of the Company, in a stock sale or exchange, that, together with the stock held by such Person or group, constitutes more than 50% of the total voting power of the stock of the Company; provided, however, that a Stock Sale will not occur if any Person, or more than one Person acting as a group, owns more than 50% of the total voting power of the stock of the Company and acquires additional stock of the Company; provided, further, that any change in the ownership of the stock of the Company as a result of a private financing of the Company that is approved by the Board will not be considered a Stock Sale.
Stock Sale shall have the meaning set forth in Section 1.21.
Stock Sale means the date as of which at least a majority of the Company's then outstanding common stock is sold in a single transaction or series of substantially related transactions and, unless otherwise approved by the Board, the consideration paid is cash or marketable securities.
