There are no representations, warranties, promises, inducements, covenants or undertakings relating to the shares of Common Stock, other than those expressly set forth or referred to herein, in the Registration Rights Agreement, the Stock Subscription Agreements or, in the case of any affected Management Stockholder, any employment agreement with the Company and any stock option agreement of the Company applicable to such Management Stockholder.
This Agreement, the Registration Rights Agreement, the Stock Subscription Agreements and, in the case of any affected Management Stockholder, any employment agreement with the Company and any stock option agreement of the Company applicable to such Management Stockholder, constitute the entire agreement and understanding of the parties hereto with respect to the matters referred to herein.
This Agreement, together with any Stock Subscription Agreements that provide that the capital stock issued thereunder shall be Registrable Securities and/or Covered Shares, as the case may be, constitutes the entire agreement and supersedes all prior agreements and understandings, both written and oral, among the parties with respect to the subject matter hereof.
To the extent that any prior agreement between the Company and the Buyers otherwise permits short sales or other hedging transactions, any such sale and transaction shall conform to the provisions of the foregoing sentence, except as otherwise provided below with respect to the Preferred Stock Subscription Agreements.
Effective as of the date of this Agreement, each and every provision of the 1998 Shareholders' Agreement and the Buy-Sell Agreement, and Sections 6 through 19 of each of the Stock Subscription Agreements, shall terminate and be of no further force or effect.
