The various agreements between and among the Issuer, Air Canada and certain of the Reporting Persons pursuant to the Stockholders' Agreement Amendment and the Restated Registration Rights Agreement disclosed in Item 6 of the most recent amendment to this Schedule 13D will become effective upon the closing of the Offering, which will occur on May 14, 1996.
