For and in consideration of the rental reserved and of the mutual covenants, agreements and conditions set forth in that certain Store Lease, Landlord does hereby lease to Tenant and Tenant does hereby lease from Landlord, upon all terms and conditions set forth in the Store Lease, the Premises.
Landlord and Tenant have entered into that certain Store Lease Agreement dated as of _____________, 1998 (the "Store Lease"), pursuant to which Landlord demised and leased to Tenant and Tenant hired from Landlord the Premises as more particularly described in the Lease (the "Premises"), which Premises are located on the real property described in Exhibit A attached hereto and made a part hereof.
Following the Effective Time, the Buyer will use its reasonable best efforts to procure the release by the applicable counterparty of any guarantee of Albertson’s or their respective Affiliates in place with respect to any Store Lease, Ground Lease or Assigned Contract by offering a replacement guarantee of Buyer or its Affiliates, but Buyer shall have no further obligation to procure such release.
If and to the extent that Buyer shall be unable to procure any such release, Buyer and its Affiliates shall jointly and severally indemnify and hold harmless the Sellers, New Diamond or their respective Affiliates, as applicable, against any damages, losses, liabilities and expenses (including reasonable attorneys’ fees) suffered or incurred by any of them with respect to any such Store Lease, Ground Lease or Assigned Contract.
Buyer and Seller have agreed to establish an escrow account at Closing with respect to the Liquor Store Lease.
