The Syndication Agents, the Sustainability Structuring Agent, and Documentation Agents, in such respective capacities, assume no responsibility or obligation hereunder, including, without limitation, for servicing, enforcement or collection of any of the Loans, nor any duties as an agent hereunder for the Lenders.
For the avoidance of doubt, no provision of this Agreement impacting any obligations or liability of the Sustainability Structuring Agent shall be amended, restated, supplemented or otherwise modified without the prior written consent of the Sustainability Structuring Agent.
The Sustainability Structuring Agent, the Administrative Agent, the Requisite Lenders, and the Borrower may amend this Agreement (such amendment, the “Sustainability Amendment”) solely for the purpose of incorporating the Key Performance Indicators and other related provisions (the “Sustainability Pricing Provisions”) into this Agreement.
Each of the Lenders and each Issuing Bank also acknowledges that it will, independently and without reliance upon the Administrative Agent, the Sustainability Structuring Agent, any other Lender or counsel to the Administrative Agent or any of their respective Related Parties, and based on such review, advice, documents and information as it shall deem appropriate at the time, continue to make its own decisions in taking or not taking action under the Loan Documents.
On or prior to February 11, 2027, Borrower, in consultation with the Administrative Agent and the Sustainability Structuring Agent, may in its sole discretion be entitled to establish specified key performance indicators (“Key Performance Indicators”) with respect to certain environmental targets of Borrower and its Subsidiaries.
