Sub-Servicing Agreement definition

Sub-Servicing Agreement. The written contract between the Servicer and a Sub-Servicer relating to servicing and administration of certain Mortgage Loans as provided in Section 3.02.

Sub-Servicing Agreement means any written contract entered into between a Servicer and any Sub-Servicer pursuant to and in accordance with the Servicing Agreement.

Sub-Servicing Agreement. Any servicing agreement between the Master Servicer or a Servicer and a Sub Servicer pursuant to which the Master Servicer or a Servicer delegates any of its servicing responsibilities with respect to any of the Mortgage Loans.

• The terms of any Sub-Servicing Agreement will not be inconsistent with any of the provisions of this Agreement.

• In the event of termination of any Sub-Servicer, all servicing obligations of such Sub-Servicer shall be assumed simultaneously by the Servicer without any act or deed on the part of such Sub-Servicer or the Servicer, and the Servicer either shall service directly the related Mortgage Loans or shall enter into a Sub-Servicing Agreement with a successor Sub-Servicer which qualifies under Section 3.02.

• The Master Servicer shall be entitled to terminate any Sub-Servicing Agreement and the rights and obligations of any Sub-Servicer pursuant to any Sub-Servicing Agreement in accordance with the terms and conditions of such Sub-Servicing Agreement.

• The Master Servicer will examine each Sub-Servicing Agreement and will be familiar with the terms thereof.

Sub-Servicing Agreement means both separately and together, (i) the Supplement to Business Operations Consignment Agreement dated [February 22, 2023] entered into by and between the Servicer, JACCS as a Sub-Servicer and the Trustee of the First Trust and (ii) the Supplement to Business Operations Consignment Agreement dated the same date entered into by and between the Servicer, SMBC Finance Service as a Sub-Servicer and the Trustee of the First Trust, pursuant to which each Sub- Servicer will be delegated a certain part of the Servicing Activities delegated to the Servicer under the Servicing Agreement (as amended).
