Sublicense Payments definition

Sublicense Payments shall have the meaning set forth in Section 9.5(a).

Sublicense Payments means sublicense fees, milestone payments and other cash consideration (excluding royalties) received by Novirio from a Sublicensee, provided that in no event shall Sublicense Payments include any funds provided by a Sublicensee to fund research and development, to reimburse Novirio for research and development expenses or to purchase equity securities of Novirio.

Sublicense Payments means all consideration (other than pass- through royalties on Net Sales of PIONEER Licensed Products by Sublicensees due to MAXYGEN pursuant to (P)4.3A)received by PIONEER or MAXYGEN, as the case may be, and their respective Affiliates and Agents from Sublicensees in respect of any grant of rights to propagate, use or sell or otherwise distribute Licensed Products (including, without limitation, technology access fees, milestone fees, payments for the sale of or right to sell Licensed Products, and license and/or sublicense fees, whether such consideration is in cash, payment in kind, exchange or another form). Notwithstanding the above, Sublicense Payments shall not include any amounts received by MAXYGEN or PIONEER, as the case may be, from a third party for [*******].

• Licensee agrees to pay and shall pay to TSRI with each Royalty Report the amount of royalty and/or Sublicense Payments due with respect to such quarter.

• Such payments shall be credited against running royalties, milestone payments and Sublicense Payments due for that calendar year and not for any preceding or subsequent calendar year, and Licensee’s royalty or other reports shall reflect such a credit.

More Definitions of Sublicense Payments

Sublicense Payments means: (i) any license fees paid by an MBC sublicensee pursuant to Section 5.3 hereof directly to InterTrust and accepted by InterTrust (provided that such license fees shall not include any recurring royalties, such as royalties of the kind specified in Sections 7.1 (a)(v) and 7.1 (a)(vi); and (ii) such amount of money (up to US$1,000,000) paid to InterTrust by Mitsubishi Electric in connection with the purchase of InterTrust securities pursuant to a stock purchase agreement, provided that on or before expiration of the Option Period -------- ---- Mitsubishi Electric becomes an MBC sublicensee or an InterTrust Prime Partner.

Sublicense Payments means any upfront, milestone or other payments, or the value of any non-monetary consideration received by FRI in connection with a sublicense of the rights granted hereunder, which are not calculated based on Net Sales of Product by the sublicensee.
