Sublicensee Revenues definition

Sublicensee Revenues means the aggregate upfront, milestone, royalty and other payments actually received by CUBIST or its Affiliates from each of its Sublicensees (other than XTL, if applicable) with respect to XTL Technology or Products, excluding payments made to reimburse CUBIST for any verifiable costs actually incurred by CUBIST in connection with (a) activities to Obtain Regulatory Approval, manufacture, market, promote, sell, offer to sell, import or export Product and (b) the transaction contemplated between CUBIST and such Sublicensee.
Sublicensee Revenues means any and all payments or consideration in any form received by GenSight or its Affiliates from a Sublicensee or any Sublicensee affiliate in consideration for the grant or transfer to them of any rights in any Product(s), and which is not Net Sales. Sublicensee Revenues specifically shall include, without limitation, any up-front and milestone payments paid by Sublicensee to GenSight, and any premium paid for GenSight equity. A premium paid on GenSight equity means 1) if GenSight shares are traded on a public market, any part of the payment for equity received by GenSight which is higher than the number of shares purchased multiplied by the current market price per share, and 2) if GenSight remains a privately held company, any part of the payment for equity received by GenSight which is higher than the number of shares purchased multiplied by the price per share established at the last round of equity financing.
Sublicensee Revenues means all amounts (except royalties) received by FibroGen from a Sublicensee with respect to a grant of rights to the Medarex Technology and/or FibroGen Technology or the right to sell Products, including without limitation, option fees, license fees and milestone payments. Notwithstanding the foregoing, the parties agree that “Sublicensee Revenues” shall exclude any purchases of equity in FibroGen at fair market value, reimbursements paid by Sublicensees to FibroGen for any payments hereunder and (a) prior to the commencement of Phase III clinical trials for any Product, on a Product-by-Product basis, any research and development funding, whether paid in advance or as reimbursement for work performed (except research and development funding in excess of FibroGen’s fully allocated costs of conducting the funded research and development, as determined in accordance with U.S. GAAP) and (b) upon the commencement of Phase III clinical trials for any Product, on a Product-by-Product basis, and thereafter, any project funding for such Product, whether paid in advance or as reimbursement for work performed (except funding in excess of FibroGen’s reasonably allocatable direct and indirect project expenses). FibroGen agrees that it will not disguise any license fees or milestone payments in the form of research and development funding. In no event shall Sublicensee Revenues include any amounts received from Sublicensee with respect to Net Sales of any Product.

Related to Sublicensee Revenues

  • Sublicense Revenues means all revenue, in whatever form but excluding sublicense royalties, earned by the Licensee in consideration of its granting a Third Party a sublicense to make a Licensed Product including, without limitation, receipt of annual milestone attainment, sublicense issuance, maintenance or up-front payments, or technology access fee; and issuance of securities or real, personal or intangible property.

  • Sublicense Revenue means any payments or other consideration that CTI actually receives from a Sublicensee as consideration for the grant of a Sublicense, including, without limitation, milestone payments, license fees, license maintenance fees and equity. Sublicense Revenue excludes (i) purchases of equity or debt of TGTX, (ii) payments made for GTX’s performance of any research, Development, or Commercialization of any Licensed Product, (iii) (b) royalties on Net Sales (or, in the case of a profit sharing deal structure, shares of net profits) which are covered in Section 5.9, and (iv) any payment or reimbursement of any costs or expenses incurred by TGTX for filing, prosecution, maintenance, or defense of any DFCI Patents. In the event such consideration received from a Sublicensee is not cash, Sublicense Revenue shall be calculated by TGTX based on the fair market value of such consideration, at the time of the transaction, assuming an arm’s length transaction made in the odinary course of business.

  • Sublicensing Revenue means all (i) cash, (ii) sublicensing fees and (iii) all other payments and the cash equivalent thereof, which are paid to LICENSEE by the Sublicensees of its rights hereunder, but excluding the following payments:

In the case of a transaction described in clause (i)(B) of the definition of Sale, Net Sales Proceeds means the proceeds of any such transaction less the amount of selling expenses incurred by or on behalf of the Company, including any legal fees and expenses and other selling expenses incurred in connection with such transaction. In the case of a transaction or series of transactions described in clause (i)(D) of the definition of Sale, Net Sales Proceeds means the proceeds of any such transaction (including the aggregate of all payments under a Mortgage on or in satisfaction thereof other than regularly scheduled interest payments) less the amount of selling expenses incurred by or on behalf of the Company, including all commissions, closing costs and legal fees and expenses. In the case of a transaction described in clause (i)(E) of the definition of Sale, Net Sales Proceeds means the proceeds of any such transaction less the amount of selling expenses incurred by or on behalf of the Company, including any legal fees and expenses and other selling expenses incurred in connection with such transaction. In the case of a transaction described in clause (ii) of the definition of Sale, Net Sales Proceeds means the proceeds of such transaction or series of transactions less all amounts generated thereby which are reinvested in one (1) or more Assets within one hundred eighty (180) days thereafter and less the amount of any real estate commissions, closing costs, and legal fees and expenses and other selling expenses incurred by or allocated to the Company or the Operating Partnership in connection with such transaction or series of transactions. Net Sales Proceeds shall also include Refinancing Proceeds and any other amounts that the Company determines, in its discretion, to be economically equivalent to proceeds of a Sale. Net Sales Proceeds shall not include any reserves established by the Company, which shall be determined by the Board in its sole discretion.

  • Project Revenues means revenues derived from the service of Project Water to Contractors and others, and from the sale or other disposal of electrical energy generated in connection with operation of Project Facilities.

  • CREFC® Intellectual Property Royalty License Fee With respect to each Mortgage Loan (including any REO Mortgage Loan) and for any Distribution Date, the amount accrued during the related Interest Accrual Period at the CREFC® Intellectual Property Royalty License Fee Rate on, in the case of the initial Distribution Date, the Cut-Off Date Balance of such Mortgage Loan and, in the case of any subsequent Distribution Date, the Stated Principal Balance of such Mortgage Loan as of the close of business on the Distribution Date in the related Interest Accrual Period; provided that such amounts shall be computed for the same period and on the same interest accrual basis respecting which any related interest payment due or deemed due on the related Mortgage Loan is computed and shall be prorated for partial periods. For the avoidance of doubt, the CREFC® Intellectual Property Royalty License Fee shall be payable from the Lower-Tier REMIC.

  • Sublicense means any agreement to Sublicense.
