Subordinated Creditor definition

Subordinated Creditor means any creditor of Tenant which is a party to a Subordination Agreement in favor of Landlord.

Subordinated Creditor has the meaning specified therefor in the Preamble hereto.

Subordinated Creditor means any Restricted Person who has, at any relevant time, entered into a Pledge of Subordinated Shareholder Loans and the Security Deed or a Security Provider’s Deed of Accession.

• Such Subordinated Creditor has full power and authority to enter into, execute, deliver and carry out the terms of this Agreement and to incur the obligations provided for herein, all of which have been duly authorized by all proper and necessary action and are not prohibited by the organizational documents of such Subordinated Creditor.

• This Agreement, when executed and delivered, will constitute the valid and legally binding obligation of such Subordinated Creditor enforceable in accordance with its terms.

More Definitions of Subordinated Creditor

Subordinated Creditor means any Person that shall have entered into a Subordination Agreement with Term Agent, on behalf of the Secured Parties.

Subordinated Creditor means, for the purpose of any Continuing Document, each person that was an original party, or who has acceded, to the Intercreditor Agreement as a Subordinated Creditor or Intra-Group Lender.

Subordinated Creditor means each Person now or in the future who agrees to subordinate indebtedness of the Borrower held by that Person to the payment of the Obligations.

Subordinated Creditor shall have the meaning set forth in the initial paragraph to this Agreement.

Subordinated Creditor means each Subordinated Creditor that is signatory to a Subordination Agreement and any other holder of the Subordinated Note or any other Subordinated Debt from time to time, including, without limitation, any [“Holder”] (as defined in the Subordinated Note), together with each such Person’s successors and assigns.
