Examples of Subordinated Creditor in a sentence
Subordinated Creditor Prior to the Senior Discharge Date, no Subordinated Creditor may take, accept or receive the benefit of any Security, guarantee, indemnity or other assurance against loss from the Borrower or any other person in respect of any of the Subordinated Liabilities.
Each Guarantor (each referred to herein as a “Subordinated Creditor”) hereby subordinates the payment of all Indebtedness, obligations, and liabilities of the Borrower or other Loan Party owing to such Subordinated Creditor, whether now existing or hereafter arising, to the indefeasible payment in full in cash of all Secured Obligations (other than contingent indemnification obligations for which no claim has been asserted).
If any person is or becomes the creditor of any Subordinated Liabilities pursuant to the terms of the Subordinated Debt Documents (whether by new subscription or transfer from an existing Subordinated Creditor), the Borrower will procure that the Creditor of that Subordinated Liabilities (if not already a Party as a Subordinated Creditor) accedes to this Agreement as a Subordinated Creditor pursuant to Clause 9.3 (Creditor Accession Undertaking).
Prior to the Senior Discharge Date, the Subordinated Creditor will not exercise any rights which it may have to take the benefit (in whole or in part and whether by way of subrogation or otherwise) of any rights under the Senior Finance Documents of the Senior Lender.
Subordinated Creditor Subject to Clause 4.7 (Permitted Enforcement: Subordinated Creditor), no Subordinated Creditor shall be entitled to take any Enforcement Action in respect of any of the Subordinated Liabilities at any time prior to the Senior Discharge Date.
