Subordination Deed definition

Subordination Deed means a subordination deed entered into or to be entered into by, inter alia, each Subordinated Creditor and the Agent in agreed form;
Subordination Deed means any deed of subordination in the agreed form executed or, as the context may require, to be executed by either the Sponsor or a Shareholder or any of their respective Affiliates in favour of the Security Agent on behalf of the Finance Parties together with all deeds of accession entered into or to be entered into pursuant thereto. Subsidiary means, in relation to any company or corporation, a company or corporation:
Subordination Deed means a document in the form set out in Schedule 8 (Form of Subordination Deed) duly completed and executed by the parties thereto.

  • For the avoidance of doubt, in the event Borrower fails to pay any Redemption Amount to Lender by the applicable Redemption Amount Payment Date for any reason, including, but not limited to, Borrower’s inability to make such payment in cash as a result of its payment restrictions or other obligations under the Subordination Deed, such failure to pay the Redemption Amount shall still be considered an Event of Default hereunder.

  • This Note is subject in all respects to the Subordination Deed (as defined in the Purchase Agreement).

  • Terms defined in the Subordination Deed shall, unless otherwise defined in this Deed, bear the same meanings when used in this Deed.

Subordination Deed means the Subordination Deed dated as of the date hereof, as amended from time to time, by and among the Issuer, the Guarantor, the Trustee, The Royal Bank of Scotland plc, in its capacity as security trustee for the Secured Parties (as defined therein) and National Westminster Bank plc, in its capacity as overdraft bank;
