Subscribed Services definition

Subscribed Services means each cloud service to which the Customer has subscribed as set out in the Order Form (and Subscribed Service shall refer to each respective service separately);
Subscribed Services means Services that Customer or Customer’s Affiliate subscribes to under an Order Form or online purchasing portal, as distinguished from Free Services or those provided pursuant to a free trial
Subscribed Services means any Services subscribed for by Subscriber.

  • For the avoidance of doubt, the Supplier is not the owner of, nor does it license to the Customer the Microsoft 365 Subscribed Services.

  • The licence periods, fees and terms of such Subscribed Services are determined and amended from time to time by Microsoft UK and its affiliates, which is entirely outside of the Supplier’s control.

  • The Customer will ensure that Authorised Users are, at all times while they have access to the Subscribed Services, the employees or contractors of the Customer or the Affiliates.


More Definitions of Subscribed Services

Subscribed Services means the package amongst the Services subscribed by the Subscriber.
Subscribed Services means Xxxxxxx’s proprietary, web-based services set forth in an Order which are provided to Client on a subscription basis and enable use of the Rubicon Software through the System.
Subscribed Services means each service to which the Customer has subscribed as set out in the Order (and Subscribed Service shall refer to each respective service separately); Subscription Fee means, in respect of each Subscribed Service, the fees payable by the Customer in consideration of that Subscribed Service as set out in the Order;
Subscribed Services means the cloud services relating to stakeholder management (which may include data room access and storage, access and tracking, board management and digital equity management solutions) to which the Customer has subscribed for on either the "growth" or "enterprise models" detailed in Schedule 2 and as specified in the Order Form (and Subscribed Service shall refer to each respective service separately); Subscription Fee means, in respect of each Subscribed Services, the fees payable by the Customer in consideration of the Subscribed Services as set out in the Pricing Terms; Sprout Platform means the technology platform owned by Sprout which has been designed and configured to provide the Services; Sprout Provided Materials means all of the Materials provided or made available by or on behalf of Sprout, but excluding all Customer Data and all Non-Sprout Materials; Sprout's Confidential Information means all information (whether in oral, written or electronic form) relating to Sprout’s business which may reasonably be considered to be confidential in nature including information relating to Sprout’s technology, know-how, Intellectual Property Rights, assets, finances, strategy, products and customers. All information relating to the Pricing Terms, the User Manual, the Description and any other technical or operational specifications or data relating to each of the Subscribed Services shall be part of Sprout’s Confidential Information; Standard Subscription Prices means Sprout’s standard pricing terms for each part of the Services, as amended by Sprout from time to time, and as at the date of this Agreement the latest version available in Schedule 2; Support Services means, in respect of the relevant Subscribed Services, the support services provided by Sprout to the Customer as described in the Subscribed Service Specific Terms; Territory means, in respect of the relevant Services, the territories of Hong Kong and Singapore and any other territories agreed in writing between the parties, or in respect of the relevant Subscribed Services as identified in the Order Form, except to the extent it is illegal (including as a result of any embargo) under the laws of the Hong Kong and Singapore (as binding on any person) for the Subscribed Services to be provided to or received within such territories from time to time; Update has the meaning given in clause 6.2, and Updated shall be construed accordingly; and
Subscribed Services means the functionalities of the Webware provided to the Subscriber and Referral-sources.
Subscribed Services means, each cloud/other service to which the Client will subscribe as itemised in the Purchase Order Form (and it will refer to each respective service separately). Each such service will be subject to the specific EULA/ToU applicable to it, which will be incorporated hereto by this reference. Should there be a conflict between these Terms and such EULA/ToU the terms of the EULA/ToU will prevail only in so far as the conflict. These services are rendered by a third party (not PCSG) and PCSG will only be a facilitator to subscribe for such services;

Support Policy SE’s policy for providing support in relation to the Services as made available at xxxxx://xxxxxxxxxx.xxx/cloud-sla as amended from time to time; Support Services means, in respect of the relevant Subscribed Service, the support services provided by SE to the Customer as described in SE’s Support Policy; Virus any thing or device (including any software, code, file or programme) which may: prevent, impair or otherwise adversely affect the operation of any computer software, hardware or network, any telecommunications service, equipment or network or any other service or device; prevent, impair or otherwise adversely affect access to or the operation of any programme or data, including the reliability of any programme or data (whether by re-arranging, altering or erasing the programme or data in whole or part or otherwise); or adversely affect the user experience, including worms, trojan horses, malware, ransomware, spyware and other similar things or devices;
