This is dealt with under the rights attaching to the Subscriber Shares and Shares respectively referred to at 2 above.
Subscriber Shares may be redeemed by the ICAV at any time after the authorisation of the ICAV by the Central Bank.
The quorum necessary for the transaction of business may be determined by the Directors and, except as provided in relation to an adjourned meeting, until otherwise determined shall be two persons entitled to vote on the business to be transacted, each being a Shareholder or a holder of Subscriber Shares or a proxy for such holders or a duly authorised representative of a corporate Shareholder, shall be a quorum.
In the event of a winding-up or dissolution of the Company, the Subscriber Shares have the entitlements referred to under “Winding Up” below.
As the Subscriber Shares are not Participating Shares (and as such do not represent any interest in a Fund) they do not entitle the holders thereof to participate in the dividends of any Fund.
