Substitute Airframe definition

Substitute Airframe means an Airbus A321 aircraft or a comparable or improved model of Manufacturer (except (a) Engines or engines from time to time installed thereon and any and all Parts related to such Engine or engines and (b) Excluded Equipment), that shall have been made subject to the Lien of the Indenture pursuant to Section 7.04 thereof, together with all Parts relating to such aircraft.

Substitute Airframe with respect to any Indenture, has the meaning specified in such Indenture.

Substitute Airframe means [an Airbus A319]11 [an Airbus A321]12 [a Boeing 777-200ER]13 aircraft (except (a) Engines or engines from time to time installed thereon and any and all Parts related to such Engine or engines and (b) items installed or incorporated in or attached to such airframe from time to time that are excluded from the definition of Parts by clauses (b), (c), (d) and (e) thereof), that shall have been made subject to the Lien of the Indenture pursuant to Section 7.04 thereof, together with all Parts relating to such aircraft.

Examples of Substitute Airframe in a sentence

• For all purposes hereof, upon the attachment of the Lien of this Indenture thereto, the Substitute Airframe shall become part of the Collateral and shall be deemed an “Airframe” as defined herein.

• So long as no Event of Default shall have occurred and be continuing, Owner shall have the right at its option at any time, on at least ten (10) Business Days’ prior notice to Mortgagee, to substitute a Substitute Airframe for the Airframe.

• In such event, immediately upon the effectiveness of such substitution and without further act, (i) the replaced Airframe shall thereupon be free and clear of all rights of the Mortgagee and the Lien of this Trust Indenture and shall no longer be deemed an Airframe hereunder and (ii) such Substitute Airframe shall become subject to this Trust Indenture and be deemed part of the Aircraft for all purposes hereof to the same extent as the replaced Airframe.

• If the Subordination Agent, in its capacity as a holder of Equipment Notes issued under an Indenture, receives a notice of substitution of a Substitute Airframe (as defined in such Indenture) pursuant to Section 4.04(f) of such Indenture, the Subordination Agent shall promptly (i) provide a copy of such notice to each Trustee and each Rating Agency and (ii) on behalf of each Trustee make available such notice to all Certificateholders.

• For all purposes hereof, upon the attachment of the Lien of this Mortgage thereto, the Substitute Airframe shall become part of the Collateral and shall be deemed an “Airframe” as defined herein.

More Definitions of Substitute Airframe

Substitute Airframe means any airframe substituted for the Airframe pursuant to Section 4.04(f) of the Trust Indenture.

Substitute Airframe means an Embraer ERJ 170-200LR aircraft or a comparable or improved model of Manufacturer (except (a) Engines or engines from time to time installed thereon and any and all Parts related to such Engine or engines and (b) Excluded Equipment), that shall have been made subject to the Lien of the Indenture pursuant to Section 7.04 thereof, together with all Parts relating to such aircraft.
