It is further understood that the Underwriters agree to purchase or cause to be purchased the Firm Shares, and if the Underwriters’ Option is exercised, the Option Shares being issued by the Company, and that this commitment is not subject to the Underwriters being able to arrange Substituted Purchasers, Qualified Institutional Buyers or U.S. Accredited Investors.
