Supplier Agreements and “Supplier Agreement” shall mean, respectively, (a) those certain supplier agreements or equivalent agreements entered into from time to time, pursuant to which Borrower, as supplier, shall agree to sell at a discount all of its right, title and interest in and to certain of its accounts receivable to various buyers or investors (or their agent), and (b) any one of such Supplier Agreements.

Supplier Agreements are agreements for which the Supplier and Customer have agreed on (i) allowances for Customer (“Supplier Allowances”) or (ii) the guaranteed cost supplier will charge Sysco for Product to be resold to Customer (“Supplier Guaranteed Distributor Cost”), which cost may be either delivered at Supplier plant or to the delivering Operating Site. All Supplier Agreements must be documented using Sysco’s supplier detail form.
