Supplier Background IP definition

Supplier Background IP means all Intellectual Property Rights owned by or licensed to the Supplier at the commencement of this Contract or created or acquired by or licensed to the Supplier, independently of the performance of this Contract, after the commencement of this Contract.
Supplier Background IP means IP that is: (i) owned or controlled by Supplier prior to these Terms entering into force; or (ii) created or acquired by Supplier at any time prior to independently from the performance of these Terms; or (iii) licensed to Supplier by any third party and that is required for the full and proper performance of these Terms, and that is necessary to give effect to the IP rights granted by Supplier to Purchaser under these Terms.
Supplier Background IP means all IPR owned by the Supplier, or to which the Supplier has rights, prior to the Commencement Date.

Examples of Supplier Background IP in a sentence

  • The Supplier indemnifies the Purchaser from and against all Claims, liability, loss, damages, costs and expenses (including legal cost) arising out of or in connection with any Claim by a third party that the Project IP, the Supplier Background IP and any use of either of them by or on behalf of the Purchaser infringes the IP Rights of a third party.

  • The Supplier grants to Steel Diamond and Steel Diamond's Personnel a non-exclusive, transferrable, royalty-free, irrevocable, sublicensable and perpetual licence (or if the IP is licensed to the Supplier, a sublicence) to use, adapt, modify or copy all Supplier Background IP to the extent necessary to enjoy the full benefit of the Goods, Services, Deliverables and Agreement IP.

  • The Client acknowledges that the Supplier Background IP is Confidential Information of the Supplier.

  • The Supplier represents and warrants that except for amounts included in the Purchase Price, no royalties or other payments are due or payable by the Purchaser to the Supplier or any other person in respect of the Project IP or the Supplier Background IP.

  • The parties acknowledge and agree that all Product Inventions and all Intellectual Property Rights therein, excluding the Supplier Background IP shall be solely owned by Customer.


More Definitions of Supplier Background IP

Supplier Background IP means all Intellectual Property Rights owned by the Supplier that are developed or created before the Commencement Date or developed or created after the Commencement Date independently of this Agreement or Schedule of Services and outside the scope of the Services;
Supplier Background IP means Intellectual Property Rights of the Supplier which: (i) exist prior to the commencement of a Purchase Contract; (ii) were not created pursuant to or in the course of fulfilling the obligations under a Purchase Contract; and (iii) are not derived from, adapted from or otherwise based on any Intellectual Property Rights of Hallite or its Related Bodies Corporate.
Supplier Background IP means all Intellectual Property (a) developed or acquired by SUPPLIER independently of this Agreement without reference to, or reliance upon, BUYER’s Confidential Information or (b) owned or controlled by SUPPLIER as of the Effective Date.
Supplier Background IP means Intellectual Property Rights owned by or licensed to the Supplier which exists prior to the date of the Agreement, but does not include Purchaser Background IP or Project IP;
Supplier Background IP means all IP Rights owned by or licensed to the Supplier (including know-how and technical information) which existed prior to the Date of Agreement, or is developed or acquired by the Supplier independently of this Agreement which is used by the Supplier in the performance of its obligations under this Agreement or otherwise made available to the Purchaser under or in connection with this Agreement, but does not include the Project IP. Taxes includes any and all sales, use, personal, property, real property, value added, consumption, stamp, documentary, business, occupation, excise, income, corporation, profits, gains, gross receipts, or other taxes, import duties, fees, withholdings, imposts, levies, duties or other charges of any nature whatsoever or whensoever, together with any penalties, fines or interest or similar additions, imposed, levied or assessed by any Authority or otherwise payable on or in respect of the Goods or the Works, but excludes GST. Training means the implementation of an instructional program by the Supplier to provide the Purchaser’s Personnel with the requisite level of knowledge and skill required to work with the Goods. Trust has the meaning given in clause 33.
Supplier Background IP means all Intellectual Property Rights of any nature which are material to the supply of the Goods and Services and which are owned by the Supplier or to which the Supplier has rights including but not limited to rights in documentation, information, data, software, source code and equipment
