Supplier Technology definition
Supplier Technology means Supplier’s proprietary technology, including the Services, software tools, hardware designs, algorithms, software (in source and object forms), user interface designs, architecture, databases, objects and documentation (both printed and electronic), network designs, trade secrets, know-how and any related IP Rights throughout the world (whether owned by Supplier or licensed to Supplier from a third party) and also including any derivatives, improvements, translations, enhancements or extensions of Supplier Technology conceived, reduced to practice, or developed during the Term by either party.

All rights in and to the Supplier Technology not expressly granted to Customer in this Agreement are reserved by Supplier and its suppliers.
Customer shall have no right to use the Supplier Technology for any purpose other than accessing and using the Services in accordance with the terms of this Agreement, nor to otherwise utilise, distribute or sub-license it to other parties whether affiliated or not.

In the event that Supplier and Company agree that incorporating such Supplier Technology into Company's process for manufacturing Compound, CCA and/or intermediates is prudent and warranted, Supplier will use reasonable efforts to obtain Company's ability to utilize Supplier Technology, on reasonable terms to be negotiated.

Supplier Technology means Supplier’s proprietary technology, including but not limited to, software tools, hardware designs, algorithms, Program (in source and object forms), user interface designs, architecture, class libraries, Documentation (both printed and electronic), network designs, know-how, trade secrets and any related intellectual property rights throughout the world (whether owned by Supplier or licensed to Supplier from a third party) and also includes any derivatives, improvements, enhancements or extensions of Supplier Technology conceived, reduced to practice, or developed during the term of this Agreement by either Party that are not uniquely applicable to Aetna or that have general applicability in the software industry.
Supplier Technology means any Technology developed or acquired by Supplier, or licensed by Supplier from any third party, which (a) exists prior to the Closing Date or (b) is developed entirely independently by Supplier, or by Supplier and a third party, at any time, without any use, knowledge of or reference to, and that is not and does not include, Maxim’s Confidential Information, Maxim Technology, or Maxim Technology Improvements.
Supplier Technology means any technology or solution provided to GBG and/or the Customer by a Supplier and/or used within GBG’s Software and/or Services;

Except for the rights expressly granted herein, this Agreement does not transfer from Supplier to CENIC any Supplier Technology, and all right, title and interest in and to Supplier Technology will remain solely with Supplier or its licensors. Except for the rights expressly granted herein, this Agreement does not transfer from CENIC to Supplier any rights in the materials or technology provided by CENIC or a CENIC Member during the term of this Agreement and/or any applicable SOW or Purchase Order (“CENIC Materials”) or any derivatives, improvements, enhancements or extensions of CENIC Materials conceived, reduced to practice, or developed by CENIC during the term of this Agreement, and all right, title and interest in and to CENIC Materials and any derivatives, improvements, enhancements or extensions of CENIC Materials will remain solely with CENIC. Supplier and CENIC each agrees that it will not, directly or indirectly, reverse engineer, decompile, disassemble or otherwise attempt to derive source code or other trade secrets owned by the other party. Supplier will own all right, title and interest in the hardware acquired by Supplier on its own behalf to perform Services. Rights in deliverables provided by Supplier under an SOW will be governed by the terms of the applicable SOW. Licenses granted to CENIC Members pertaining to Suppliers Products and Services shall be governed by the applicable ▇▇▇▇ and/or Terms of Service.
