Survival Date definition

Survival Date has the meaning set forth in Section 9.1.

Examples of Survival Date in a sentence

• Any claim for which notice has been given prior to the expiration of the Survival Date shall not be barred hereunder.

• Notwithstanding anything to the contrary contained herein, no claim for indemnification may be made against the party required to indemnify (the “Indemnitor”) under this Agreement unless the party entitled to indemnification (the “Indemnitee”) shall have given the Indemnitor written notice of such claim as provided herein on or before the Survival Date.

• If a Notice of Claim has been given on or prior to the applicable Survival Date, the relevant representations and warranties shall survive as to such claim until the claim has been finally resolved.
