The terms of the Tag-Along Right shall be the same consideration per Share and otherwise the same terms and conditions as applicable to the selling Party.
If the proposed acquirer refuses to accept the purchase of the Shares from the Shareholders exercising their Tag-Along Right, the selling Party shall be prohibited from transferring the Shares to the proposed acquirer.
