Target Employees definition

Target Employees means the employees of the Target and the employees of members of the Target Group from time to time; and

Target Employees shall have the meaning ascribed to such term in Section 7.2(a).

Target Employees as defined in Section 3.2.4.

Examples of Target Employees in a sentence

• As of the date hereof, none of the Target Employees are represented by a labor organization, work council or trade union.

• Attached as Section 4.11(e) of the Target Disclosure Letter is Target’s severance policy and any other plan, policy or program providing severance benefits (collectively, the “Target Severance Policy”), and a list of Target Employees with written employment agreements or written letter agreements.

• Target Employees who commence employment with Buyer or an Affiliate of Buyer pursuant to a Transfer Offer shall be referred to herein as “Transferred Employees.” Nothing in this Section 7.2 or elsewhere in this Agreement shall be construed to create a right in any Target Employee, or in any other employee of Seller, to employment with Buyer or any Affiliate of Buyer.

• Seller and the officers of Seller shall use commercially reasonable efforts to encourage Target Employees to accept the Transfer Offers.

• This paragraph shall not apply to prevent MAI from hiring or attempting to hire the Target Employees following a full or partial termination of this Agreement by MAI pursuant to the terms of this Agreement.

More Definitions of Target Employees

Target Employees has the meaning set forth in Section 8.01(a);

Target Employees means the current employees (whether actively employed or on leave including without limitation short term or long term disability leave) of the Target Group as at Closing;

Target Employees means all of the employees of each Target Group Member as at the date of this Agreement.

Target Employment and Withholding Taxes: any federal, state, local or foreign employment, unemployment insurance, social security, disability, workers’ compensation, payroll, health care, or other similar Tax, duty or other governmental charge or assessment or deficiencies thereof or any Tax required to be withheld by or on behalf of Target Company in connection with amounts paid or owing to any employee, independent contractor, creditor or other party (including, but not limited to, all interest, additions to Tax and penalties thereon, and additions thereto, and whether or not such item or amount is disputed). Target Facilities: any property presently or previously operated by a Target Company.
