Target Information definition
Target Information has the meaning set forth in Section 2.4.
Target Information means information relating to Target, any member of the Target Group and all other information in the Scheme Document that is not Offeror Information;

The Offeror must obtain approval from the Target for the form and context in which any Target Information appears in a Disclosure Document and is stated in it to be sourced from the Target, which approval must not be unreasonably delayed or withheld.

Target Information means information relating to the [*] of Targets, the rationale behind such [ * ], and any other information relating to Targets that is not in the public domain. Roche Bioscience may, however, disclose to (a) the Roche Research Development Board (or its successor committee), and other Roche officers responsible for oversight of Roche Bioscience research activities or financing, the Targets on which it is working and the general status of development of Research Compounds; (b) Roche Global Development (or its successor organization) Target Information for purposes of preparing for the commencement of a Phase III clinical study or the Entry into Portfolio of a Development Compound directed against such Target; and (c) to internal Roche or external patent counsel Target Information for purposes of Patent Management of an Roche Bioscience Invention relating to such Target under Section 11.3; provided, however, that Roche Bioscience shall not disclose more information than the amount of information that Roche Bioscience discloses for other Roche Bioscience development compounds without the prior written approval of Tularik. Roche Bioscience agrees that the Roche groups receiving such information shall not disclose such information to other Roche sites or to Third Parties. The non-disclosure restrictions in this Section 2.4 shall cease for a particular Target upon the earlier of the commencement of Phase III or the Entry into Portfolio of a Roche Bioscience Compound directed against such Target. Should Tularik acquire Affiliates, a comparable firewall shall be put in place for Tularik at such time. Target Information means on a Target-by-Target basis, all information relating to the identity of the Target, any modifications that Organon proposes to the standard criteria for a Lead Compound set forth in Table 1, the chemistry and protocol of the Primary Assay, any reference standards and Secondary Assay to be run at Organon or transferred to Pharmacopeia as the case may be, and any other enabling information relevant to the conduct of the activities of the Parties hereunder. "Target Information" shall also include on a Target-by-Target basis, any relevant Organon or third party patent application or patent of which Organon is aware, as well as the status of Organon's efforts in connection with its development of compounds against a target. For the avoidance of doubt, compound structure information shall not be part of Target Information.
Target Information means the information provided by the Target to the

Target Information means information about the Target Corporations required in order for the Purchaser to comply with its obligations pursuant to securities Laws, including obligations: (i) under National Instrument 51-102 - Continuous Disclosure Obligations; (ii) as may be required in order for the Purchaser to prepare and file a prospectus in connection with the Financing under applicable securities Laws (including under National Instrument 44-101 - Short Form Prospectus Distributions); or (iii) as may be required by the TSXV, including, in each case as applicable, (x) audited consolidated historical financial statements of the Target Corporations for their last two completed fiscal years; (y) unaudited interim consolidated financial statements of the Target Corporations for their most recent interim period ended after their most recent fiscal year-end and the comparable interim period in the preceding fiscal year; and (z) consents from any of auditors and any other advisors of the Target Corporations to the use of any financial, technical or other expert information and comfort and consent letters of such auditors and advisors in form and substance acceptable to the Purchaser; and “Target Information” shall also include reasonable assistance in preparing pro forma financial statements of the Purchaser derived from the financial statements referred to in (x) and (y) above.
