Target Information definition

Target Information has the meaning set forth in Section 2.4.
Target Information means the information about the Target to be included in the Bid Circular;
Target Information means information relating to the [*] of Targets, the rationale behind such [ * ], and any other information relating to Targets that is not in the public domain. Roche Bioscience may, however, disclose to (a) the Roche Research Development Board (or its successor committee), and other Roche officers responsible for oversight of Roche Bioscience research activities or financing, the Targets on which it is working and the general status of development of Research Compounds; (b) Roche Global Development (or its successor organization) Target Information for purposes of preparing for the commencement of a Phase III clinical study or the Entry into Portfolio of a Development Compound directed against such Target; and (c) to internal Roche or external patent counsel Target Information for purposes of Patent Management of an Roche Bioscience Invention relating to such Target under Section 11.3; provided, however, that Roche Bioscience shall not disclose more information than the amount of information that Roche Bioscience discloses for other Roche Bioscience development compounds without the prior written approval of Tularik. Roche Bioscience agrees that the Roche groups receiving such information shall not disclose such information to other Roche sites or to Third Parties. The non-disclosure restrictions in this Section 2.4 shall cease for a particular Target upon the earlier of the commencement of Phase III or the Entry into Portfolio of a Roche Bioscience Compound directed against such Target. Should Tularik acquire Affiliates, a comparable firewall shall be put in place for Tularik at such time. Examples of Target Information in a sentence

  • Thereafter, ARES TRADING and Intrexon will meet to discuss the Target Information Package through a meeting of the JSC, including any technical or other concerns Intrexon may have with respect to any such Target.

More Definitions of Target Information

Target Information means information relating to Target, any member of the Target Group and all other information in the Scheme Document that is not Offeror Information;
Target Information means the information provided by the Target to the
Target Information means on a Target-by-Target basis, all information relating to the identity of the Target, any modifications that Organon proposes to the standard criteria for a Lead Compound set forth in Table 1, the chemistry and protocol of the Primary Assay, any reference standards and Secondary Assay to be run at Organon or transferred to Pharmacopeia as the case may be, and any other enabling information relevant to the conduct of the activities of the Parties hereunder. “Target Information” shall also include on a Target-by-Target basis, any relevant Organon or Third Party patent application or patent of which Organon is aware, as well as the status of Organon’s efforts in connection with its development of compounds against a Target. For the avoidance of doubt, compound structure information shall not be part of Target Information.
Target Information means all information to be included in the Information Circular (including in documents incorporated by reference) describing Target, the business, operations and affairs of Target, including, without limitation, the Target Financial Statements, and the matters to be considered at the Target Meeting.
Target Information means all information contained in the Scheme Booklet and all information provided by or on behalf of Target to the Independent Expert to enable the Independent Expert’s Report to be prepared and completed, but does not include the Bidder Information and the Independent Expert’s Report.
Target Information means all the information in the Scheme Booklet other than the Bidder Information and the Independent Expert’s Report. Target Registry means MUFG Corporate Markets (AU) Limited, or any replacement share registry services provider to Target. Target Share means a fully paid ordinary share in the capital of Target. Target Share Register means the register of members of Target maintained by or on behalf of Target in accordance with section 168(1) of the Corporations Act. Target Share Right means an entitlement to a Target Share (or, in certain circumstances, to a cash payment in lieu of a Target Share) subject to applicable terms and conditions. Target Shareholder means each person who is registered in the Target Share Register as a holder of Target Shares. Target Warranties means the representations and warranties of Target set out in Schedule 4. Tax Act means the Income Tax Assessment Act 1936 (Cth) or the Income Tax Assessment Act 1997 (Cth), or both as the context requires. Tax Conditions means any conditions or undertakings in the form of, substantially in the form of, or otherwise consistent with the form of, the ‘standard’ and ‘additional’ tax conditions published by or on behalf of FIRB in section D of FIRB’s guidance note 12 on ‘Tax Conditions’ (in the form as published immediately prior to 14 March 2025), and such other Tax-related conditions described under the headings ‘General’, ‘Provision of information’, ‘Thin capitalisation’, ‘Financing’, ‘Private Equity / Private Capital’ and ‘Conditions reporting’ in section D of FIRB’s guidance note 12 on ‘Tax Conditions’ (in the
