Target Information definition

Target Information has the meaning set forth in Section 2.4.
Target Information means the information about the Target to be included in the Bid Circular;
Target Information means information relating to Target, any member of the Target Group and all other information in the Scheme Document that is not Offeror Information;

Target Information means information relating to the [*] of Targets, the rationale behind such [ * ], and any other information relating to Targets that is not in the public domain. Roche Bioscience may, however, disclose to (a) the Roche Research Development Board (or its successor committee), and other Roche officers responsible for oversight of Roche Bioscience research activities or financing, the Targets on which it is working and the general status of development of Research Compounds; (b) Roche Global Development (or its successor organization) Target Information for purposes of preparing for the commencement of a Phase III clinical study or the Entry into Portfolio of a Development Compound directed against such Target; and (c) to internal Roche or external patent counsel Target Information for purposes of Patent Management of an Roche Bioscience Invention relating to such Target under Section 11.3; provided, however, that Roche Bioscience shall not disclose more information than the amount of information that Roche Bioscience discloses for other Roche Bioscience development compounds without the prior written approval of Tularik. Roche Bioscience agrees that the Roche groups receiving such information shall not disclose such information to other Roche sites or to Third Parties. The non-disclosure restrictions in this Section 2.4 shall cease for a particular Target upon the earlier of the commencement of Phase III or the Entry into Portfolio of a Roche Bioscience Compound directed against such Target. Should Tularik acquire Affiliates, a comparable firewall shall be put in place for Tularik at such time. Target Information means all information to be included in the Information Circular (including in documents incorporated by reference) describing Target, the business, operations and affairs of Target, including, without limitation, the Target Financial Statements, and the matters to be considered at the Target Meeting.
Target Information means on a Target-by-Target basis, all information relating to the identity of the Target, any modifications that Organon proposes to the standard criteria for a Lead Compound set forth in Table 1, the chemistry and protocol of the Primary Assay, any reference standards and Secondary Assay to be run at Organon or transferred to Pharmacopeia as the case may be, and any other enabling information relevant to the conduct of the activities of the Parties hereunder. "Target Information" shall also include on a Target-by-Target basis, any relevant Organon or third party patent application or patent of which Organon is aware, as well as the status of Organon's efforts in connection with its development of compounds against a target. For the avoidance of doubt, compound structure information shall not be part of Target Information.
Target Information means, on a Target-by-Target basis, all information relating to the identity of the Target, the protocol of the Assays, any reference standards to be run at Company or transferred to Ligand as the case may be, and any other enabling information relevant to the conduct of the activities of the Parties hereunder with respect to such Target.
Target Information means all information contained in the Explanatory Memorandum other than the Bidder Information, the Tax Opinion and the Independent Expert’s report. Target Material Adverse Change means a negative impact (excluding mark to market movements relating to investment properties, financial derivatives, hedge accounted interest bearing liabilities and foreign exchange rates) on the net tangible assets of the Target of at least $111 million or on recurring Funds From Operations of at least $9 million, occurs or becomes apparent between the date of this agreement and 8.00am on the Meeting Date, other than those events, changes, conditions, matters, circumstances or things: Target Prescribed Event means, except to the extent contemplated by this agreement or the Proposal, any of the events listed in Schedule 1 provided that a Target RE means Investa Listed Funds Management Limited (ACN 149 175 655) in its capacity as responsible entity of the Target or any replacement of it from time to time. Target RE Board means the board of directors of Target RE or a committee of the board.
Target Information means all information included in the Scheme Booklet other than the Bidder Information and the Independent Adviser’s Report.
