Target Option Plan definition

Target Option Plan means the Target’s 2018 Stock Plan, as amended.

Target Option Plan means the stock option plan of Target.

Target Option Plan means the amended and restated stock option plan of Target effective June 8, 2004, as may be amended in accordance with this agreement.

• Acquiror shall comply with the terms of the Target Option Plan and use best efforts to ensure, to the extent required by, and subject to the provisions of, such Target Option Plan and Sections 422 and 424(a) of the Code, that Target Options which qualified as incentive stock options prior the Effective Time continue to qualify as incentive stock options after the Effective Time.

• Acquiror shall comply with the terms of the Target Option Plan and the parties intend that, to the extent required by, and subject to the provisions of, such Target Option Plan and Sections 422 and 424(a) of the Code, that Target Options which qualified as incentive stock options prior the Effective Time continue to qualify as incentive stock options after the Effective Time, and this provision shall be interpreted consistent with that intent.

• There are no Target Options other than those issued pursuant to the Target Option Plan, and Target has provided to Parent true, correct and complete copies of the Target Option Plan and each underlying agreement related thereto.

• Except as provided in the Target Disclosure Schedule, consistent with the terms of the Target Option Plan and the documents governing the outstanding options under the Target Option Plan, the Merger will not terminate any of the outstanding Target Options or accelerate the exercisability or vesting of such Target Options or the shares of Acquiror Series P Common underlying Target Options upon the Acquiror's assumption thereof in the Merger.

• Each Target Option outstanding immediately prior to the Effective Time, whether granted pursuant to the Target Option Plan or otherwise shall be cancelled and terminated at the Effective Time.

More Definitions of Target Option Plan

Target Option Plan means the ReSearch Pharmaceutical Services, Inc. 2002 Equity Incentive Plan effective as of June 6, 2002.

Target Option Plan has the meaning set forth in Section 3.5(a).

Target Option Plan means the stock option plan of Target approved by Target Shareholders on July 16, 2013;

Target Option Plan means the stock option plan of the Target approved by the Target Shareholders on March 5, 2020 and as further amended from time to time.

Target Option Plan means each of Target’s 1996 Stock Option Plan, 2001 Equity Incentive Plan and 2001 Nonstatutory Stock Option Plan.
