The Tax Claim Notice shall contain factual information (to the extent known to the party receiving the inquiry or notice from the taxing authority) describing such demand, claim or circumstance, including any asserted tax liability (an “Asserted Tax Claim”) in reasonable detail and shall include copies of any notice or other document received in respect of any such Asserted Tax Claim.
Such Tax Claim Notice will describe the asserted Tax Claim in reasonable detail and will include copies of any notices and other documents received from any Governmental Authority in respect of any such asserted Covered Tax Claim.

Notwithstanding any other provision in this Agreement, the Unit Holder’s sole remedy for any delay by an Indemnified Entity in providing a Tax Claim Notice will be that the Unit Holder will not be liable under the Tax Indemnity to the extent that the delay gives rise to or increases an amount contemplated by clause 5.1(b)(i), net of any corresponding benefit arising from the delay.
