No Tax Proceedings are presently pending with regard to any Tax Returns or Taxes of Clarant, and no notice has been received (whether in writing or verbally) of the expected commencement of such a Tax Proceeding.
The principles of the foregoing sentence shall also apply for purposes of determining the control of Tax Proceedings with respect to U.S. state or local consolidated, combined, unitary or affiliated Tax Returns.
