In the case of an Incentive Stock Option granted to a Ten Percent Shareholder, (i) the Exercise Price shall not be less than one hundred and ten percent (110%) of the Fair Market Value of the Shares on the date of grant of such Incentive Stock Option, and (ii) the Exercise Period shall not exceed five (5) years from the date of grant of such Incentive Stock Option.
An Option granted hereunder to an Eligible Participant who is a Ten Percent Shareholder at the date of the grant of the Option shall not qualify as an Incentive Stock Option unless: (i) the purchase price of the Option Shares subject to said Option is at least one hundred and ten percent (110%) of the Fair Market Value of the Option Shares, determined as of the date said Option is granted.
The Exercise Period of an Option will be seven (7) years from the date of grant of the Option unless otherwise determined by the Committee, but subject to the vesting provisions described above and the early termination provisions set forth in Sections 6.6 and 6.7 hereof; provided, however, that in the case of an Incentive Stock Option granted to a Ten Percent Shareholder, such Exercise Period shall not exceed five (5) years from the date of grant of such Option.
Unless the applicable Award Agreement specifies a shorter term, in the case of an ISO granted to a Ten Percent Shareholder, the Option shall expire on the fifth anniversary of the date the Option is granted.
In no event shall the Expiration Date be later than 10 years from the Date of Grant (or, in the case of a Ten Percent Shareholder, five years from the Date of Grant).
