No personal liability will attach to the Tenant's Solicitors by virtue of their entering into the Missives in their capacity as agents for the Tenant.
The Tenants will ensure that the Lease is duly executed by the Tenants, and that a certified copy of the executed Lease is returned to the Landlords' Solicitors within 21 days after the date of delivery of the engrossment of the Lease, duly executed by the Landlords, to the Tenants' Solicitors, together with evidence of the valid execution of the Lease by the Tenants.
The Tenant acknowledges and agrees that in entering into this Agreement, it does not rely on and will have no remedy in respect of any statement, representation, assurance (whether negligently or innocently made) of any person (whether party to this Agreement or not) other than as expressly set out in this Agreement or in any written replies which the Landlord's Solicitors or the Landlord have given to any enquiries raised by the Tenant's Solicitors before the date of this Agreement.
Upon the Landlord's title having been deduced to the Tenant's Solicitors pursuant and subject to the terms and conditions set forth in Schedule 8 attached hereto, the Tenant shall be deemed to accept the grant of each Lease with full knowledge of the title and the Landlord shall not be required to reply to any enquiries or requisitions on that title save in respect of matters arising after the date on which the Landlord Completes the Acquisition of the Site under Schedule 8.
The Tenant hereby admits that the Demised Premises have been inspected by it or on its behalf and the Tenant has entered into this Lease solely on the basis of such inspection and upon the terms hereof and not in reliance of any collateral contract warranty or representation whether written oral or implied made by or on behalf of the Landlord other than any made by the Landlord's Solicitors in reply to any enquiries raised by the Tenant's Solicitors prior to the date hereof.
