The Borrower may elect to convert the Notes from the Term Rate Mode to another Mode, including to another Term Rate Period or the Fixed Rate Mode.
Such election shall be in accordance with the provisions of Section 1(a)(ii) hereof, applicable to Conversion from the Initial Floating Rate Mode; provided, however, that if the Borrowers elect to convert the Notes to another Mode prior to the end of the Term Rate Period then in effect, the Borrowers also shall pay to the Noteholders, in addition to the Purchase Price, a premium equal to the redemption premium, if any, that would be due if the Notes were redeemed in full on the Conversion Date.
The Notes shall be subject to mandatory tender for purchase on the day following the last day of each Term Rate Period.
At the option of the Borrowers and upon certain conditions as provided for in the Agreement, the Notes may be converted from the Term Rate Mode to any other Mode (including from one Term Rate Period to another Term Rate Period).
With respect to Notes to be converted to the Term Rate Mode, not later than 20 days prior to each Conversion Date, the Borrowers shall notify the Administrative Agent of the term of the Term Rate Period to be applicable to the Notes as of such Conversion Date.
