If Amgen substitutes a Substitute Target for a Replaced Target in accordance with Section 2.3, this Agreement shall automatically terminate with respect to such Replaced Target, and, for clarity, such Replaced Target shall become a Terminated Target, with no further action by the Parties.
Amgen may terminate this Agreement, either in its entirety or on a Collaboration Target-by-Collaboration Target basis, for convenience by providing written notice of its intent to terminate to Generate, in which case, such termination will be effective 30 days after Generate’s receipt of such written notice, and, for clarity, any such Collaboration Target, or each Collaboration Target to the extent this Agreement is terminated in its entirety, shall become a Terminated Target.
