Terminated Territory definition

Terminated Territory means each Major Market with respect to which this Agreement is terminated by Licensor pursuant to Section 13.2.2, each country with respect to which this Agreement is terminated by AbbVie pursuant to Section 13.3.2, or, if this Agreement is terminated in its entirety, the entire Territory.
Terminated Territory means each country or region with respect to which this Agreement is terminated by Forest pursuant to Section 11.2.3 or, if this Agreement is terminated in its entirety, the entire Territory.
Terminated Territory has the meaning set forth in Section 12.4.

Examples of Terminated Territory in a sentence

  • If a Reversion Product is marketed in any country of the Terminated Territory on the date of the notice of termination of this Agreement, upon the request of Schrӧdinger, Novartis shall transfer all existing and available amount of such Reversion Product to Schrӧdinger in consideration for Schrödinger’s payment of Novartis’s fully burdened Manufacturing cost and transfer costs (including shipping).

  • Novartis shall assign and transfer all clinical study agreements that are solely related to the Terminated Products in the Terminated Territory, to the extent such Third Party agreements have not been cancelled and are assignable without Novartis paying any consideration or commencing litigation in order to effect an assignment of any such agreement.


More Definitions of Terminated Territory

Terminated Territory means each country with respect to which this Agreement is terminated by a Party pursuant to Section 14.4 or, if this Agreement is terminated in its entirety, the world.
Terminated Territory means with respect to a termination of this Agreement pursuant to ARTICLE 14, as applicable, (a) the country(ies) subject to such termination; and (b) with respect to termination of this Agreement in its entirety, the Servier Territory.
Terminated Territory means each country with respect to which this Agreement is terminated by AstraZeneca pursuant to Section 9.4.2.
Terminated Territory. Terminated Territory means, as applicable, (a) with respect to a termination of this Agreement pursuant to Section 13.3 or Section 13.4 that is limited to the MERRIMACK Europe Territory, the MERRIMACK Asia Territory and/or the MERRIMACK ROW Territory, but not all of them, the MERRIMACK Europe Territory, the MERRIMACK Asia Territory and/or the MERRIMACK ROW Territory, as applicable; or (b) with respect to a termination of this Agreement pursuant to Section 13.3 or Section 13.4 that applies to all of the MERRIMACK Europe Territory, the MERRIMACK Asia Territory and the MERRIMACK ROW Territory, all of the MERRIMACK Europe Territory, the MERRIMACK Asia Territory and the MERRIMACK ROW Territory.
Terminated Territory means each country with respect to which this Agreement is terminated by Voyager pursuant to Section 16.2.1 or AbbVie pursuant to Section 16.2.3, in either case, if such termination applies to one (1) or more countries, but not all of the countries in the Territory.
Terminated Territory means any country or countries with respect to which this Agreement has been terminated. For clarity, if this Agreement is terminated in its entirety, the Terminated Territory shall be the entire Territory.
Terminated Territory means one of the following: (a) Canada, (b) Switzerland, (c) those countries in the Licensed Territory under the regulatory jurisdiction of the European Commission, and (d) all countries in the Licensed Territory not included in the preceding clauses (a)-(c) (the “Non-Commercial Territory”).
