Termination Assistance definition

Termination Assistance means the activities to be performed by the Supplier pursuant to the Exit Plan, and any other assistance required by the Customer pursuant to the Termination Assistance Notice;

Termination Assistance means the Services to be provided by the Service Provider in the event of and/or in the lead in to the termination (in whole or in part) or expiry of the Agreement as further described in clause 37 (Termination Assistance) and Schedule 15 (Exit Plan and Transfer Arrangements).

Termination Assistance has the meaning set forth in Section 2.07(a).

Examples of Termination Assistance in a sentence

• The quality and level of performance of Termination Assistance Services provided by Contractor shall continue to meet or exceed the Service Levels and shall not be degraded or deficient in any respect.

• During the period when Contractor provides the Termination Assistance Services or at any time during the Term, Contractor shall use its best efforts to communicate and transfer the practical skill, knowledge and expertise to OCA and any new contractor who will be providing the Services after the Term in relation to the delivery of the Services, including the knowledge necessary for OCA or the new contractor to perform the Services.

• If any period for performing any Termination Assistance Services extends beyond the expiration or the effective date of any termination of this Agreement, the provisions of this Agreement shall remain in full effect for the duration of such period.

• Contractor shall provide Termination Assistance Services commencing on the date that OCA determines there shall be an Assistance Event and continuing for up to twelve (12) months after the effective date of such Assistance Event, as designated by OCA, subject to further extensions as permitted by Section 4.3(a)(iii).

• For avoidance of doubt, Termination Assistance Services performed by Contractor (A) during the Term of this Agreement shall be performed without any additional Charges, except as set forth in Section 4.3(d); (B) after the Term of this Agreement shall be performed with Charges as set forth in Exhibit 4.

More Definitions of Termination Assistance

Termination Assistance means those Services, resources and facilities to be provided by the Contractor, upon the Bank’s request, to assist the Bank in relation to the termination or expiry of this Contract as provided in Schedule 9.
