Termination Assistance definition

Termination Assistance means the activities to be performed by the Supplier pursuant to the Exit Plan, and any other assistance required by the Customer pursuant to the Termination Assistance Notice;

Termination Assistance means the Services to be provided by the Service Provider in the event of and/or in the lead in to the termination (in whole or in part) or expiry of the Agreement as further described in clause 37 (Termination Assistance) and Schedule 15 (Exit Plan and Transfer Arrangements).

Termination Assistance has the meaning set forth in Section 2.07(a).

Examples of Termination Assistance in a sentence

• As a part of Termination Assistance, the Supplier shall provide Client (free of charge) with an up-to-date copy of all information which belongs to Client that is in the possession or control of the Supplier.

• During the Term and any Termination Assistance Services period, each Party will designate an individual who will be that Party’s primary representative with respect to this Agreement (the “Relationship Manager” for that Party).

• The Supplier shall provide Termination Assistance during the Transition Period and for one month thereafter.

• Notwithstanding the foregoing, upon termination of the applicable SOW as part of the Termination Assistance Services, nothing in this Section 27 shall restrict Client’s ability to solicit or hire any (a) dedicated Ensemble Personnel performing Services on-site at a Facility at the position of director and below, or (b) Transferred Employee (as defined in the SOW).

• Upon expiration or termination of this Agreement or any SOW or upon the Disclosing Party’s written request at any time during the Term or the term of any Termination Assistance Services, the Receiving Party shall promptly, at the Disclosing Party’s option, either return or destroy all the Confidential Information and all copies thereof and other materials containing such Confidential Information and the Receiving Party shall certify in writing its compliance with the foregoing.

More Definitions of Termination Assistance

Termination Assistance means those Services, resources and facilities to be provided by the Contractor, upon the Bank’s request, to assist the Bank in relation to the termination or expiry of this Contract as provided in Schedule 9.

Termination Assistance means the necessary assistance which is reasonably required by the Client in order to complete the transition of all or part of the Services from the Supplier to the Client or a third party designated by the Client in advance of or following the termination or expiry of this Agreement
