Termination Due to Death or Disability definition

Termination Due to Death or Disability means a Separation as a result of a termination of your employment by the Company due to your death, or due to a disability which in the sole and reasonable discretion of the Board materially impairs your ability to adequately perform assigned duties and carry out required responsibilities.
Termination Due to Death or Disability means a termination of employment due to Death or Disability of the Participant.

Examples of Termination Due to Death or Disability in a sentence

  • Upon termination of this Agreement under Section 3.3 (Early Termination by Executive), Section 3.4 (Termination for Cause) or Section 3.5 (Termination Due to Death or Disability), all salary and benefits of Executive hereunder shall cease immediately.

  • Renewal); Termination By the Company For Cause; Termination Due to Death or Disability of the Executive.

  • In the event your Continuous Service is terminated as a result of death or Disability on or after a Change in Control but prior to the Time-Vesting Date, the vesting provisions set forth in “Special Vesting Events – Termination Due to Death or Disability – On or After the End of the Performance Period” shall apply.

  • On or Before the Vesting Date, or Termination Due to Death or Disability On or Before the Vesting Date.

  • Termination Due to Death or Disability or By REFAC Without Cause.

  • Cause On or Before December 31, 2016, Termination Due to Death or Disability On or Before December 31, 2016.

  • The benefits payable under this Article IV are exclusive, and no amount shall become payable to any person (including Executive) by reason of the termination of this Agreement under Section 3.3 (Termination by Employer) or Section 3.5 (Termination Due to Death or Disability) or upon the resignation of Executive, except as otherwise provided in this Article IV, including, without limitation, under Section 3.4 (Termination by Executive for Good Reason).

  • Without Cause On or Before December 31, 2008, Termination Due to Death or Disability On or Before December 31, 2008.

  • Cause On or Before December 31, 2007, Termination Due to Death or Disability On or Before December 31, 2007.

  • Cause On or Before December 31, 2013, Termination Due to Death or Disability On or Before December 31, 2013.

  • Termination of Service means:

  • Involuntary Termination Without Cause means Executive’s dismissal or discharge by the Company other than for Cause. The termination of Executive’s employment as a result of Executive’s death or inability to perform the essential functions of his job due to disability will not be deemed to be an Involuntary Termination Without Cause.

  • Permanent Disability means the Employee’s inability to perform the essential functions of the Employee’s position, with or without reasonable accommodation, for a period of at least 120 consecutive days because of a physical or mental impairment.

  • Disability Date means the date on which a Participant is deemed disabled under the employee benefit plans of the Corporation applicable to the Participant.

  • Qualifying Termination means a termination of Executive’s employment (i) by the Company other than for Cause or (ii) by Executive for Good Reason. Termination of Executive’s employment on account of death, Disability or Retirement shall not be treated as a Qualifying Termination.

  • Involuntary Termination means a termination of your employment with the Company pursuant to either (i) a termination initiated by the Company without Cause, or (ii) your resignation for Good Reason, and provided in either case such termination constitutes a Separation from Service. An Involuntary Termination does not include any other termination of your employment, including a termination due to your death or disability.

  • Termination of Employment means that the Executive ceases to be employed by the Company for any reason, voluntary or involuntary, other than by reason of a leave of absence approved by the Company.
