International banking institution means an international financial institution of which the United States is a member and whose securities are exempt from registration under the Securities Act of 1933.
Municipal Finance Management Act means the Local Government: Municipal Finance Management Act, 2003 (Act No. 56 of 2003);
Financial Markets means international financial markets in which currency and other financial assets exchange rates are determined in multi-party trade.
Capital Markets Debt means any debt securities or debt financing issued pursuant to an indenture, notes purchase agreement or similar financing arrangement (but excluding any credit agreement) whether offered pursuant to a registration statement under the Securities Act or under an exemption from the registration requirements of the Securities Act.
Investment authority means the responsibility conferred by action of law or a provision of an appropriate governing instrument to make, select or change investments, review investment decisions made by others, or to provide investment advice or counsel to others;
Digital Banking (a) means our present and future online banking services which can be accessed through 365 Online, Business Online, Bank of Ireland Mobile Banking, and services available on www.bankofireland.com; and
Mizuho means Mizuho Bank, Ltd.
Financial Management Manual means the Financial Management Manual dated March 13, 2009 adopted by the Project Implementing Entity and which sets out the policies and procedures for establishing and maintaining a financial management system to be implemented by the Project Implementing Entity in the carrying out of the Project.
Barclays Capital is a reference to Barclays Capital, the investment banking division of Barclays Bank PLC;
Highway authority means the state highway commission, a board of county road commissioners or the governing body of a city or village.
International Financial Institution means any bank in the top 1,000 (together with their affiliated companies) as measured by "Tier 1" capital or any broker/dealer in the top 100 as measured by capital.
Antitrust Authority means any governmental authority charged with enforcing, applying, administering, or investigating any Antitrust Law, including any attorney general of any state of the United States, the European Commission, the Bureau of Competition in Canada or any other competition authority of any jurisdiction.
securities regulatory authority or “SRA” means a body created by statute in any Canadian or foreign jurisdiction to administer securities law, regulation and policy (e.g. securities commission), but does not include an exchange or other self regulatory entity;
Public Finance Management Act ’ means the Public Finance Management Act, 1999 (Act No. 1 of 1999);
exempt market dealer means a person or company registered in the category of exempt market dealer;
Agency and/or State Agency means the statutory unit of state government in the State of Missouri for which the equipment, supplies, and/or services are being purchased by the Division of Purchasing (Purchasing). The agency is also responsible for payment.
Federal banking agency means the Board of Governors of the Federal Reserve System, the Comptroller of the Currency, the Director of the Office of Thrift Supervision, the National Credit Union Administration and the Federal Deposit Insurance Corporation;
Financial Services means any service of a financial nature, including (but not limited to) —
securities dealer means a person or entity that is authorized under provincial legislation to engage in the business of dealing in securities or any other financial instruments or to provide portfolio management or investment advising services.
Commodity Futures Trading Commission means the independent regulatory agency established by congress to administer the Commodity Exchange Act.
Financial Markets Act means the Financial Markets Act, No 19 of 2012;
New York Banking Day means any day except a Saturday, Sunday or a legal holiday in The City of New York or a day on which banking institutions in The City of New York are authorized or obligated by law, regulation or executive order to be closed.
Sales finance company means that term as defined in section 2 of the motor vehicle sales finance act, MCL 492.102.
Barclays means Barclays Bank PLC.
Corporate Finance Fee means the fee to be paid to the Agent by the Issuer in consideration of corporate finance and structuring services provided by the Agent;
Securities Commissions means collectively, the applicable securities commission or securities regulatory authority in each of the Qualifying Jurisdictions;
