The Exercise Price definition

The Exercise Price. (as defined in Section 8) and the number of shares issuable upon exercise of each Warrant are subject to adjustment upon the occurrence of certain events, all as hereinafter provided. The Warrant Certificates shall be executed on behalf of the Company by its Chairman of the Board, President or one of its Vice Presidents, and attested to by its Secretary or an Assistant Secretary. The signature of any of such officers on the Warrant Certificates may be manual or facsimile. Warrant Certificates bearing the manual or facsimile signatures of individuals who were at any time the proper officers of the Company shall bind the Company, notwithstanding that such individuals or any one of them shall have ceased to hold such offices prior to the delivery of such Warrant Certificates or did not hold such offices on the date of this Agreement.
The Exercise Price means (x) prior to the expiration of the Thirty Day Period (as defined below), $6.25 per share of Common Stock, as adjusted hereunder (the "Initial Exercise Price"), or (y) after the expiration of the Thirty Day Period, the lesser of (1) the Initial Exercise Price, as adjusted hereunder, and (2) 82.5% of the average of the daily Closing Price per share of Common Stock for the 30 consecutive trading days following the public release by the Company of its consolidated earnings statement for the fiscal year ending May 31, 1998 (the "Thirty Day Period"), subject to appropriate adjustment for the events described in Section 6.1
