  • Any action taken by any party on or prior to the Third Amendment and Restatement Effective Date as expressly required by the 2009 Restructuring shall not, in and of itself, be deemed to cause a Termination Event.

  • Such Closing Fee will, to the extent such Lender funds its Term Loan, be in all respects fully earned, due and payable on the Third Amendment and Restatement Effective Date and non-refundable and non-creditable thereafter and, in the case of the Term Loans, such Closing Fee shall be netted against Term Loans made by such Lender.
