Third Amendment Documents definition

Third Amendment Documents means, collectively, the Third Amendment, the Joinder to Guaranty, the Fourth Amended and Restated Note, the Joinder to Continuing Letter of Credit Agreement, the Post-Closing Letter Agreement, and each other document, instrument, certificate and agreement executed and delivered by any Borrower, any Subsidiary, any Guarantor, or their counsel in connection with the Third Amendment or otherwise referred to therein or contemplated thereby all as they may be amended, restated or otherwise modified.

Third Amendment Documents means (a) the Third Amendment, (b) the Working Capital Notes issued pursuant to Section 3.05(f)(i) and (c) the Third Mortgage Amendments.

Third Amendment Documents has the meaning ascribed to such term in the recitals hereto.

• This Third Amendment, together with the other Third Amendment Documents, the Credit Agreement, and the other Loan Documents, represents the entire agreement of the parties hereto and thereto, and supersedes all prior agreements and understandings, oral and written, if any, including any commitment letters or correspondence relating to the Third Amendment Documents, the other Loan Documents or the transactions contemplated herein or therein.

• Such legal opinion shall cover such matters incident to the transactions contemplated by this Amendment and the other Third Amendment Documents as the Lender may reasonably require.

• There is no fact known to MBIA which ----------- ---------- materially adversely affects the business, assets, operations or financial condition of MBIA or the ability of MBIA to perform its obligations under any the Third Amendment Documents or any Loan Document as amended thereby which has not been set forth in this Amendment or in the financial statements or reports required to be delivered pursuant to Section 3.4 hereof.
