Third Tranche definition

Third Tranche means 413,667 of the Restricted Shares, for which the Performance Condition will be satisfied upon achievement of the Third Performance Hurdle; and

Third Tranche means the uncommitted tranche of additional Notes Payable in an aggregate amount of up to $150.0 million, available until March 31, 2024, subject to the satisfaction of certain conditions set forth in the Note Purchase Agreement.

Examples of Third Tranche in a sentence

• Upon satisfaction of the covenants and conditions set forth in Sections 2.2 and 2.3, but only to the extent the Company shall also previously complied with all Transaction Documents in all material respects prior to and as of the Third Tranche Closing Date, the Third Tranche Closing shall occur at the offices of Xxxxx Xxxxxx or such other location as the parties shall mutually agree, or shall take place remotely by electronic transfer of applicable Transaction Documents.

• On the Third Tranche Closing Date, subject to mutual consent of the parties, and subject to the satisfaction of the terms and conditions set forth herein, the Company has the option to, but not the obligation, and the Investor agrees to purchase, an aggregate of up to $1,500,000 of Principal Amount of the Third Tranche Note (or such lesser amount as the parties may mutually agree) and Warrants.

More Definitions of Third Tranche

Third Tranche means the balance of the proceeds of the Loan remaining in the Loan account after the utilization of the First Tranche and the Second Tranche to be withdrawn pursuant to, and subject to, the provisions of paragraph 6 of Schedule 3 to this Loan Agreement.

Third Tranche has the meaning given to that term in Article 2.2.1 (Tranches).
