THL Affiliates definition
THL Affiliates means any Affiliate of THL, provided that for purposes of the definition of “Change of Control,” the term THL Affiliate shall not include any portfolio company of either THL or any Affiliate of THL.
THL Affiliates means THL and any person that directly or indirectly through one or more intermediaries, controls or is controlled by, or is under common control with, THL.

After giving effect to the consummation of the Recapitalization Transaction, THL and the THL Affiliates shall own, collectively, in excess of 90% of each of the voting and economic interest in the Borrower.
In connection with the Equity Financing, the Investors, the largest of which will be THL Affiliates, shall own and control not less than a majority of the voting power of the capital stock of MergerCo and the Company and THL Affiliates shall have an economic interest of not less than $185,000,000 therein.
