Tier 3 Participant definition

Tier 3 Participant means each Participant designated in Schedule A hereto as a Tier 3 Participant, as that schedule may be amended in accordance with Section 2.01.

Tier 3 Participant means each other employee of the Company or an Affiliated Entity who is designated by the Committee in writing as a Participant.

Tier 3 Participant means each of the Tier 3 Participants who may be set forth on Exhibit A-2 to this Plan from time to time. For purposes of this definition, if an employee is designated a Tier 3 Participant on Exhibit A-2 immediately prior to a Change in Control, such employee shall be eligible for benefits as such under this Plan.

Examples of Tier 3 Participant in a sentence

• At the time the Committee designates an Employee as a Participant, the Committee shall also designate whether such Employee is a Tier 1 Participant, a Tier 2 Participant, a Tier 3 Participant or a Tier 4 Participant.

• Tier 3 Participant adds Customer, Professional, Firm, Non-NOM Market Maker and/or Broker-Dealer liquid-$0.42.ity in Penny Pilot Options and/or Non-Penny Pilot Options above 0.20% to 0.30% of total industry customer equity and ETF option ADV contracts per day in a month.

• If the Participant is a Tier 3 Participant, the Company shall continue to pay to the Participant his or her Annual Base Salary for the twelve (12) month period commencing on the Date of Termination.

• The Administrator designates Participants into one of the following three categories: Tier 1 Participant per Appendix A-1, Tier 2 Participant per Appendix A-2 or Tier 3 Participant per Appendix A-2.

• Each Participant shall be classified as a Tier 1 Participant, Tier 2 Participant or Tier 3 Participant and each Notice of Participation shall set forth the classification of the relevant Participant.

More Definitions of Tier 3 Participant

Tier 3 Participant means a Participant who has been designated by the Committee as a Tier 3 Participant in accordance with Section 3.2 below.

Tier 3 Participant means each Participant designated in writing by the Board or the Compensation and Human Capital Committee as a Tier 3 Participant, as that designation may be amended in accordance with Section 2.01.

Tier 3 Participant means each individual who is designated by the Company’s Chief Executive Officer on or after the date hereof as a Tier 3 Participant.

Tier 3 Participant means each Participant who is an Other Key Employee.

Tier 3 Participant means any employee who holds the title of Senior Vice President but is not a member of the Company’s Executive Leadership Team and any other Eligible Employee, in each case, whom the Committee has designated as a Tier 3 Participant pursuant to Section 2.01 of this Plan.

Tier 3 Participant means a Participant who is designated by the Committee, in its sole discretion, as a Tier 3 level Participant.

Tier 3 Participant means a Participant who is a Vice President or a Senior Vice President level employee.
